Job summary

Bezen & Partners in Istanbul seeks a full-time associate with a minimum of five years’ banking and finance experience to join our growing Finance & Banking team. English law qualification and/or experience is highly beneficial.

You will advise lenders, borrowers and sponsors on financing matters, draft and negotiate facility agreements, conduct due diligence and manage closing processes, while coordinating with clients and advisers.

Qualifications

• A bachelor’s or master’s degree in law and Turkish Bar Association membership.
• At least five years of banking and finance experience, preferably at an international law firm or reputable local practice.
• Experience in domestic and cross-border financing transactions, including loan documentation and security packages.
• Knowledge of Turkish banking, security and financial regulation.
• Strong drafting, negotiation and analytical skills.
• Excellent written and spoken English; additional languages are an advantage.
• Strong organisational skills and the ability to manage multiple matters and deadlines in fast-paced transactions.
• A commercial, practical and solution-oriented approach.
• Excellent communication and interpersonal skills.
• A proactive, detail-oriented approach, with ownership of your workstream.
• The ability to work independently and as part of a collaborative team.

Responsibilities

• Support domestic and cross-border financing transactions, including bilateral and syndicated loans, acquisition finance, project finance and restructurings.
• Draft, review and negotiate facility agreements, security documents and ancillary finance documents.
• Prepare and negotiate security packages under Turkish law, including share pledges, commercial enterprise pledges, mortgages and assignments of receivables.
• Conduct legal due diligence for financing transactions and prepare reports.
• Prepare conditions precedent checklists and manage signing and closing processes, including perfection and registration of security.

What you will do

• Advise domestic and international lenders, borrowers and sponsors on banking and finance matters, building strong client relationships and contributing to business development
• Support domestic and cross-border financing transactions, including bilateral and syndicated loans, acquisition finance, project finance and restructurings
• Draft, review and negotiate facility agreements, security documents and ancillary finance documents
• Prepare and negotiate security packages under Turkish law, including share pledges, commercial enterprise pledges, mortgages and assignments of receivables
• Conduct legal due diligence for financing transactions and prepare reports

• Coordinate transaction processes and liaise with clients, counterparties, and other advisors
• Conduct legal research and prepare legal memoranda and opinions

What you bring
