Job summary

Schoenherr Attorneys at Law in Istanbul seeks a full-time associate (40 hours/week) with a minimum of three years of corporate/M&A experience to join our Corporate / M&A team. You will advise on domestic and cross-border matters, conduct due diligence, draft and negotiate S.P.A.s and related documentation, and support restructurings and joint ventures.

Qualifications

• Bachelor's or Master's in law is required.
• Membership in the Turkish Bar Association is expected.
• Minimum of three years' relevant corporate/M&A experience, preferably at an international firm.
• Experience in domestic and cross-border M&A transactions, due diligence, and transaction docs.
• Strong drafting, negotiation, and analytical skills.
• Proficient in English (written and spoken).
• Strong organization and ability to manage multiple deadlines.
• Commercial mindset with practical, solution-oriented approach.
• Excellent communication and client-relations skills.

Job description

We are looking for a full-time associate (40 hours/week) with a minimum of three years of relevant professional experience to join our Corporate / M&A team.

What To Expect

• Advising domestic and international clients on a broad range of corporate and M&A matters
• Assisting with domestic and cross-border mergers and acquisitions, including share and asset deals
• Conducting legal due diligence and preparing due diligence reports
• Drafting, reviewing and negotiating transaction documentation, including share purchase agreements, shareholders' agreements and other ancillary documentation
• Advising on corporate restructurings, reorganisations, joint ventures and other corporate transaction
• Providing ongoing corporate and commercial legal advice to local and international clients
• Preparing and reviewing corporate documents, including resolutions, minutes and other company-related documentation
• Conducting legal research and preparing legal memoranda and opinions
• Coordinating transaction processes and liaising with clients, counterparties and other advisors;
• Managing multiple workstreams and deadlines in fast-paced transaction environments
• Maintaining strong client relationships and contributing to business development initiatives;
• Keeping up to date with relevant legal and regulatory developments.

What Sets You Apart

• A bachelor's or master's degree in law
• Membership in the Turkish Bar Association
• At least three years of relevant professional experience in corporate law and M&A, preferably gained at an international law firm or a reputable local practice
• Experience in domestic and cross-border M&A transactions, including due diligence and transaction documentation
• Strong legal drafting, negotiation and analytical skills
• Excellent command of English, both written and spoken; additional language skills are an advantage
• Strong organisational skills and the ability to manage multiple matters and deadlines effectively
