Role overview

The Managing Director, Head of Capital Markets & Stakeholder Relations is the senior executive responsible for ScaleUp’s capital markets strategy, institutional capital formation and end‑to‑end management of critical stakeholders, including investors, regulators, banking partners and strategic platforms. The role combines capital‑markets origination and execution leadership with accountability for narrative, engagement and trust across the firm’s most important external constituencies.

Capital markets leadership
  • Define and lead ScaleUp’s global capital markets strategy across equity, structured products, ETFs, notes and tokenised formats, ensuring alignment with the firm’s Liquidity Infrastructure positioning and capital‑light business model.

  • Originate, structure and execute financing and strategic capital transactions (growth equity, strategic placements, structured partnerships) that support platform scale‑up, regulatory roadmap and geographic expansion.

  • Act as deal captain for key transactions, overseeing diligence, documentation, regulatory engagement and market‑facing execution, while coordinating legal, risk, finance and product teams.

Stakeholder and investor relations
  • Serve as primary relationship owner for institutional investors, sovereign wealth and private‑equity sponsors, banking partners, regulators and ecosystem platforms, ensuring consistent, high‑trust engagement.

  • Lead development and delivery of the ScaleUp equity and product story across capital markets, including investor days, roadshows, conference appearances and targeted institutional outreach.

  • Build and run a structured stakeholder‑mapping and engagement program that identifies material stakeholder groups, their priorities and influence, and ensures proactive communication and feedback loops.

Strategic partnerships and distribution
  • Design and negotiate Direct and White‑Label partnerships with banks, wealth platforms, treasury‑system vendors, ETF/structured‑product issuers and tokenised RWA platforms to embed ScaleUp’s Liquidity Infrastructure engine at scale.

  • Develop commercial frameworks for performance‑linked economics, SaaS/IP royalties and technology licensing that preserve ScaleUp’s capital‑light profile while aligning incentives with partners and end‑clients.

  • Work closely with product and technology teams to prioritise integrations and wrappers that unlock the largest incremental idle‑cash pools and deepen monetisation per client.

Governance, communications and market positioning
  • Own the external communications strategy on capital‑markets and stakeholder topics, including market updates, product positioning, regulatory narrative and responses to market events, in coordination with CEO and Board.

  • Ensure that the explainable‑AI, compliance‑by‑design and risk‑management features of ScaleUp are clearly articulated to regulators, auditors, boards and investment committees, addressing concerns around “black box” AI.

  • Establish robust disclosure and reporting practices to investors and partners, including performance, risk, governance and ESG‑relevant information, consistent with best practice in institutional markets.

Leadership profile and experience requirements
  • 15+ years of senior capital‑markets, investment banking or institutional investor experience with a strong track record in complex financings, strategic partnerships and C‑suite stakeholder management.

  • Demonstrated experience as lead or co‑lead on at least five IPOs or equivalent equity capital markets transactions across major global venues (such as NYSE, Nasdaq, Hong Kong and other leading exchanges), including responsibility for investor marketing and pricing/allocation decisions.

  • Proven ability to manage multi‑jurisdictional listing and regulatory processes and to work closely with regulators, exchanges, auditors and counsel in APAC and other key markets.

  • Experience working with or for sovereign wealth funds, large asset managers, banks or financial infrastructure providers, with a history of structuring strategic or distribution partnerships in capital markets.

  • Strong leadership credentials, including building and managing high‑performing teams and contributing as a key member of an executive leadership group.
