Job summary

Mohammad A. Al Habib & Sons Holding Company seeks a Legal Specialist to join its Group Legal Team in Riyadh. You will provide timely legal support across labor, corporate, and investment topics and draft complex agreements.

Reporting to the Chief Legal Officer, you will conduct legal research, review regulatory requirements, and coordinate with internal stakeholders and external counsel to mitigate risks and ensure compliance.

Qualifications

• Bachelor’s degree in law or Sharia.
• 3+ years' of relevant legal experience.
• A relevant professional legal qualification or licence in Saudi Arabia is an advantage.

Responsibilities

• Provide accurate and timely legal support to internal departments and executives across multiple topics (labor law, partnerships, international ventures, corporate finance).
• Draft and review investment agreements, shareholders’ agreements, joint venture agreements, share sale, and other commercial contracts.
• Support company incorporation and restructuring procedures, including amendments to constitutional documents, ownership changes, and corporate filings.
• Assist with legal matters relating to investment companies, structures, and funds.
• Prepare and review board and shareholders’ resolutions, minutes, governance policies, and other corporate documents.
• Negotiate and finalize complex transactional agreements and contracts to protect the company’s rights.
• Conduct legal research and due diligence and identify regulatory risks.
• Coordinate with internal stakeholders, external counsel, and authorities.

The successful candidate will join the Group’s Legal Team and report directly to the Chief Legal Officer.

Responsibilities:

• Provide accurate and timely legal support to the various internal departments and executives in a variety of legal topics (labor law, partnerships, international ventures, corporate finance etc.).
• Draft and review investment agreements, shareholders’ agreements, joint venture agreements, share sale, and other commercial contracts.
• Support company incorporation and restructuring procedures, including amendments to constitutional documents, ownership and capital changes, and corporate filings.
• Assist with legal matters relating to investment companies, investment structures, and investment funds.
• Prepare and review board and shareholders’ resolutions, meeting minutes, governance policies, and other corporate documents.
• Negotiate, draft and solidify complex transactional agreements, contracts and other legal documents to ensure the company’s full legal rights.
• Conduct legal research and due diligence and identify relevant legal and regulatory risks.
• Coordinate with internal stakeholders, external legal counsel, and relevant authorities.

Qualifications:

• Bachelor’s degree in law or Sharia.
• 3+ years' of relevant legal experience, preferably with a law firm, holding company, investment company.
• A relevant professional legal qualification or licence in Saudi Arabia is an advantage.

• Excellent command of Arabic, both written and spoken, including legal drafting.
• Intermediate proficiency in English, both written and spoken.
• Strong legal research, drafting, analytical, and communication skills.
