Kafaa Capital is a CMA-licensed investment platform in Saudi Arabia, specializing in Shariah-compliant sukuk-based investment and financing solutions. Headquartered in Riyadh, we are developing next-generation digital investment infrastructure with a strong focus on transparency, compliance, and innovation. We are looking for a Legal & Compliance Specialist to ensure our business operations and investment solutions strictly adhere to Saudi regulatory frameworks and legal standards.
Key Responsibilities:
- Provide legal guidance to internal departments, especially in financial and investment matters.
- Draft, review, and revise a variety of legal documents, including contracts, financing agreements, guarantees, pledges, debt instruments, and commercial agreements.
- Assist in assessing legal risks associated with financial transactions, investment projects, and new products in collaboration with the Finance and Product teams.
- Review offering documents, investment agency agreements, and terms and conditions from a legal compliance perspective.
- Support the company's engagement with the Capital Market Authority (CMA) by assisting in preparing reports, responding to inquiries, and ensuring timely regulatory submissions.
- Monitor updates to regulations such as the Capital Market Law, AML/CTF laws, Companies Law, Civil Transactions Law, and fintech-related compliance guidelines.
- Assist in implementing and maintaining compliance policies, procedures, internal controls, and Special Purpose Entities (SPEs).
- Support litigation-related matters before relevant authorities like the Committee for Resolution of Securities Disputes and Commercial Courts, and facilitate communication with the Shariah Committee.
- Conduct or assist in compliance audits, risk assessments, and investigations of compliance breaches to propose corrective action plans.
- Support the delivery of compliance training programs and workshops to enhance employee awareness and adherence to regulatory obligations.
Qualifications & Requirements:
- CME 1 and CME 2 Certifications (Issued by the Capital Market Authority) - Mandatory.
- Bachelor's degree in Law.
- Minimum 5+ years of practical experience in the legal and compliance field.
- Strong knowledge of relevant Saudi regulations, especially Companies Law, Finance Companies Control Law, and Capital Market Authority Law & Regulations. Upper-intermediate level of proficiency in both Arabic and English.
Preferred Qualifications:
- Master's degree in Law or a related field.
- Direct experience in the Investment, Financing, or Fintech sector.
- Proven experience guiding compliance programs through external audits or CMA regulatory inspections.
- Demonstrated capability in drafting complex financial contracts and regulatory submissions.High attention to detail, analytical skills, and strong legal drafting proficiency.
- Exceptional communication skills, capable of liaising effectively with regulatory bodies, external legal counsel, and internal executives.
- High integrity, accountability, and pragmatic decision-making in regulatory risk management.
