Job summary

Hammerjack Pty Ltd is seeking an experienced Legal Department Head in the Philippines to oversee regulatory compliance and banking law obligations. You will lead the legal team, advise on contracts, governance, and litigation, and coordinate with external counsel and authorities.

The role requires steering the department, planning budgets, and approving team leaves while ensuring adherence to laws and industry standards. Strong leadership and strategic thinking are essential.

Qualifications

• Graduate of Bachelor of Laws/Juris Doctor.
• Licensed Attorney.
• At least 5 years of work experience in managing bank legal requirements.

Responsibilities

• Represent the bank in courts, quasi-judicial bodies, and administrative agencies.
• File pleadings and correspondences with courts and relevant agencies.
• Ensure adherence to applicable laws, regulations, and industry standards.
• Provide legal advice on banking regulations, corporate governance, contracts, and litigation.
• Manage litigation and dispute resolution, including coordination with external legal counsel.
• Maintain relationships with external counsel, regulatory authorities, and industry associations.
• Stay updated on Supreme Court decisions, BIR, SEC, and BSP regulations and other relevant legal publications.
• Review and draft contracts, agreements, pleadings, and other legal documents.
• Prepare bank contracts and negotiate agreements involving the bank.
• Draft minutes of meetings, board resolutions, and certifications issued by the Corporate Secretary.
• Plan, direct, and coordinate department activities.
• Supervise and evaluate direct reports.
• Support the career advancement and development of team members.
• Approve and schedule vacation leaves of direct reports.
