JOB ROLE SUMMARY
The Paralegal position supports the company's Legal Department by managing legal documentation, contracts, corporate records, regulatory requirements, compliance activities, and legal requests from business units. The role also conducts legal research, monitors regulatory developments, coordinates with government agencies and external counsel, and maintains systems for tracking legal and compliance obligations.
The position operates under the supervision of the Chief Legal Officer and serves as a key coordination point between Legal and the company's commercial, sales, operations, finance, HR, procurement, and other business functions.
Legal Management & Operations
- Manage the Legal Department's database of contracts, legal documents, corporate records, cases, permits, licenses, and compliance requirements.
- Monitor incoming legal requests from business units and track each request through completion.
- Prepare periodic reports for management regarding outstanding contracts, legal matters, compliance obligations, and regulatory requirements.
- Coordinate meetings, documentation, approvals, signatures, and follow-ups required for legal matters.
- Maintain an organized and secure repository of legal and corporate documents.
Contract and Commercial Legal Management
- Review contracts and supporting documents for completeness, consistency, and compliance with company requirements.
- Assist Legal Counsel in preparing, reviewing, revising, and finalizing commercial agreements.
- Maintain records of contracts throughout their lifecycle, including drafting, review, approval, execution, renewal, amendment, and termination.
- Track contractual obligations, expiration dates, renewal dates, and other critical milestones.
- Coordinate with Sales, Procurement, Operations, Finance, and other business units regarding contract requirements.
- Compare proposed contractual terms against approved company templates and standard provisions.
- Identify unusual, incomplete, or potentially problematic contractual provisions and elevate them to Legal Counsel.
- Maintain a database of executed agreements and supporting documentation.
Legal and Regulatory Compliance
- Monitor applicable laws, regulations, government issuances, and regulatory developments affecting company operations.
- Maintain a compliance calendar covering statutory, regulatory, licensing, reporting, and corporate requirements.
- Coordinate the preparation and submission of regulatory documents and reports.
- Maintain records of permits, licenses, registrations, certifications, and regulatory filings.
- Coordinate with government agencies regarding documentation, submissions, and compliance requirements.
- Prepare compliance reports and status updates for Legal Counsel and management.
- Assist in identifying potential compliance gaps and elevate material risks to Legal Counsel.
- Support the implementation and documentation of compliance policies and procedures.
- Assist in conducting compliance reviews, audits, and internal legal assessments.
Corporate Governance & Corporate Housekeeping
- Maintain corporate records, including board resolutions, secretary's certificates, corporate registrations, and related documents.
- Assist in preparing documentation for board and management approvals.
- Monitor corporate filing deadlines and statutory requirements.
- Coordinate corporate housekeeping activities with external counsel and government agencies.
- Maintain accurate records of corporate changes, registrations, licenses, and regulatory submissions.
- Assist in preparing documents required for corporate transactions and governance activities.
Legal Research and Documentation
- Conduct legal and regulatory research on matters assigned by Legal Counsel.
- Summarize relevant laws, regulations, jurisprudence, and government issuances.
- Prepare research notes, legal summaries, compliance updates, and supporting memoranda.
- Monitor changes in laws and regulations relevant to the company's operations.
- Organize supporting documents and evidence for legal matters.
- Assist in preparing legal correspondence, notices, affidavits, memoranda, and other documents under appropriate supervision.
Legal Risk and Case Management
- Maintain records of litigation, disputes, claims, investigations, and other legal matters.
- Monitor deadlines and required actions for ongoing legal matters.
- Coordinate with external counsel regarding documents and case requirements.
- Compile evidence, contracts, correspondence, and other supporting documents.
- Prepare case chronologies and matter summaries when required.
- Elevate potential legal, regulatory, contractual, or compliance risks to Legal Counsel.
- Maintain confidentiality of sensitive legal and corporate information.
JOB QUALIFICATIONS
- a. Bachelor’s degree in Legal Management, Political Science, Business Administration, or a related discipline.
- b. Minimum 5 years of relevant experience in corporate legal support, legal management, contract administration, regulatory compliance, corporate governance, or a related function.
- c. Preferred experience in the telecommunications industry.
- d. Experience in an in-house legal department or corporate environment, exposure to contracts and commercial transactions, legal and regulatory compliance, coordinating with business units, working with senior management.
- e. Skills in legal research, writing, documentation, organization, written and verbal communication, attention to detail, and to manage multiple priorities and deadlines.
- f. Ability to work independently while appropriately escalating matters requiring legal judgment.
