Job summary

Sky Freight Brokerage Inc. is seeking a corporate lawyer to draft and negotiate contracts, support executive negotiations, and ensure regulatory compliance.

You will review corporate filings, guide on governance, and advise on acquisitions and labor matters from our Parañaque City office. Ideal candidates are Bar Passers with 1–2 years in a corporate setting, strong leadership, excellent communication skills, and a proactive risk-aware mindset.

Qualifications

• Must be a Bar Passer.
• 1–2 years of corporate experience preferred.
• New Bar Passers are welcome to apply.
• In-depth knowledge of legal management and processes.
• Possess people management and leadership skills.
• Excellent communication and interpersonal skills.
• Result-oriented with initiative and ability to escalate legal risk.
• Detail-oriented and analytical.
• Willing to work from Mon–Fri at the main office in Parañaque City.

Responsibilities

• Draft, review, and negotiate contracts, agreements, and legal correspondence to ensure compliance and enforceability.
• Assist the Vice President during contract negotiations, ensuring favorable terms and mitigating risk.
• Review and verify Secretary Certificates and other corporate filings for accuracy.
• Ensure compliance with legal requirements and corporate governance processes.
• Provide legal guidance on regulatory and industry-specific matters.
• Support acquisitions, restructuring, mergers, and strategic decisions.
• Deliver well-researched legal opinions to internal stakeholders.
• Notify business teams about significant regulatory changes affecting operations.
• Oversee legal aspects of commercial transactions and partnerships.
• Mentor new counsel and legal staff to ensure quality work.
• Handle labor disputes and employment-law matters in line with policies.
• Develop and update company policies and employee handbook.
• Lead training and awareness sessions across departments on legal topics.
• Protect the company and affiliates legally; represent in required matters.
• Oversee transition to digital processes with regulatory compliance.
• Perform other duties as assigned.

Job Description

• Draft, review, and negotiate complex contracts, agreements, and legal correspondence to ensure legal compliance, clarity, and enforceability.
• Provide assistance to the Vice President during contract negotiations, ensuring favorable terms and mitigating risk for the company.
• Review, verify, and ensure accuracy of Secretary Certificates and other essential corporate filings.
• Monitor compliance with legal requirements and corporate governance processes.
• Address and resolve regulatory and compliance issues, providing legal guidance and assistance on industry-specific regulations.
• Support the VP in legal matters concerning acquisitions, corporate restructuring, mergers, and other key business decisions, ensuring alignment with the company's strategic goals.
• Provide well-researched legal opinions and advice to internal stakeholders on various legal matters, supporting informed decision-making across the organization.
• Keep business stakeholders informed of significant legislative changes and regulatory rulings that could impact the company's operations or policies.
• Oversee the legal aspects of commercial transactions, including sales, partnerships, and joint ventures, ensuring all agreements align with the company's strategic objectives.
• Delegate and manage tasks among new counsel and legal staff, providing mentorship and oversight to ensure quality legal work.
• Handle labor disputes and manage related legal challenges related to employment law, ensuring compliance with labor standards and internal policies.
• Develop, review, and update company policies and the employee handbook to reflect current laws, industry standards, and organizational goals.
• Engage in immersions for the creation and updating of the Company Handbook and provide legal training sessions across departments and corporations to promote legal awareness and ensure compliance.
• Ensure legal protection for the company and its affiliates, representing the organization in legal matters when required.
• Direct and supervise the company's transition to digital processes, ensuring adherence to legal standards and regulatory requirements during the process.
• Performs other tasks and responsibilities that may be assigned from time to time.
