Job summary

Masteron Sdn Bhd in Malaysia seeks a sole in-house legal counsel to provide strategic legal guidance across the Group’s Development, Hospitality, Asset Management and Property Investment divisions, domestically and overseas.

You will lead negotiations for hotel management and franchise agreements, manage leases, draft standard contracts, ensure regulatory compliance, handle disputes and oversee governance across subsidiaries.

Qualifications

• LLB (Hons) or equivalent and admitted as Advocate & Solicitor.
• Minimum 7–10 years' post-qualification experience in law; 2–3 years in-house at a property developer/investment group preferred.
• Strong knowledge of property development law, housing, land and strata.
• Experience in landlord/tenant matters, drafting and negotiating commercial leases and disputes.
• Experience in dispute resolution and litigation related to land and property is a plus.
• Experience with hotel management, franchise or operator agreements is advantageous.
• Able to work independently as sole counsel with clear, risk-based advice.

Responsibilities

• Lead review, negotiation, renewal and renegotiation of hotel management, franchise and operator agreements for Group hotels in Malaysia, England and Scotland, coordinating with local counsel.
• Manage tenancies and leases across investment properties, drafting and negotiating tenancy agreements, renewals and rent reviews, handling defaults and disputes.
• Develop and maintain standard contract templates, delegation of authority, contract approval process and central register of contracts and renewals.
• Draft, review and negotiate legal documents including joint venture agreements, power of attorney, deeds of trust, financing documents and land transactions.
• Advise on compliance with laws affecting property development, including housing development, land, strata and planning; manage related claims.
• Oversee litigation, arbitration and disputes, instruct external lawyers and control legal costs.
• Ensure arm's-length documentation of transactions with FIHB group and escalate as needed.
• Oversee company secretarial function and governance across Group subsidiaries; support corporate exercises.
• Maintain anti-bribery/corruption framework and inform Management of regulatory developments.
• Prepare legal reports and provide training to business teams; perform other legal projects.

Job description

To act as the sole in-house legal counsel for the Masteron Group of Companies (the "Group"), providing legal advice and support to Management on legal, contractual and operational matters across the Group's Development, Hospitality, Asset Management & Property Investment, Investment and Resources divisions in Malaysia and overseas.

Key responsibilities

Lead the review, negotiation, renewal and renegotiation of hotel management, franchise and operator agreements for the Group's hotels in Malaysia, England and Scotland, coordinating with local counsel in each jurisdiction.

Manage the Group's tenancies and leases across its investment properties, including drafting and negotiating tenancy agreements, renewals and rent reviews, and handling tenant defaults, arrears recovery and disputes.

Develop and maintain standard contract templates, a delegation-of-authority and contract approval process, and a central register of key contracts, leases, licences and renewal deadlines across all Group subsidiaries.

Draft, review, negotiate and advise on legal documents and agreements for the Group's businesses, including joint venture agreements, power of attorney, deed of trust, financing documents, and material land acquisitions and disposals.

Advise on compliance with laws and regulations affecting the Group's property development activities, including housing development, land, strata and planning matters, and homebuyer claims.

Manage the Group's litigation, arbitration, adjudication and other disputes, including selecting and instructing external lawyers, reviewing their work and controlling legal costs.

Ensure that transactions between the Group and the FIHB group are properly documented, on arm's-length terms, and escalated appropriately.

Oversee the company secretarial function and corporate governance matters across the Group's subsidiaries, and to support corporate exercises as assigned.

Maintain and update the Group's anti-bribery and corruption framework under Section 17A of the Malaysian Anti-Corruption Commission Act 2009 and other legal compliance policies, and to keep Management informed of relevant legal and regulatory developments.

Prepare legal reports and updates for Senior Management and the Board of Directors, to provide legal training to business teams where needed, and to perform other legal projects as assigned.

About you

LLB (Hons) or equivalent and admitted as an Advocate & Solicitor of the High Court of Malaya.

Minimum 7 – 10 years' post-qualification experience as a legal practitioner and/or in-house legal counsel, with at least 2 – 3 years in-house at a property developer or property investment group preferred.

Strong knowledge of property development law, including housing development, land and strata legislation.

Experience in landlord and tenant matters, including drafting and negotiating commercial leases and managing tenant disputes.

Experience in dispute resolution and litigation in relation to land and property-related matters is a strong advantage.

Experience with hotel management, franchise or operator agreements is a strong advantage.

Experience in construction contracts (PAM, PWD, IEM) and CIPAA is an advantage.

Able to work independently as a sole counsel and prioritise across multiple businesses.

Strong drafting skills and attention to detail, commercially pragmatic, giving clear, risk-rated advice to senior management.

Fluent in Bahasa Malaysia and English, written and spoken.
