The ideal candidate will have a Bachelor's degree in Law, strong compliance knowledge, and the ability to navigate complex legal frameworks while fostering stakeholder engagement and maintaining governance standards.

Job Description Legal, Compliance and Governance

• To lead and oversee the organisation’s compliance framework to ensure adherence to applicable laws, regulatory requirements and internal policies while providing strategic advisory support to the Head of Legal & Secretariat and Head of Group Compliance.
• Act as the legal advisor to internal stakeholders, business units, senior management and the Board Committees on all legal matters relating to company law, capital markets and securities laws, banking and financing laws, Securities Commission guidelines, anti‑bribery and corruption laws, personal data protection laws, anti‑money laundering laws and any other applicable laws governing the regulated activities in Malaysia including REIT and non‑REIT entities.
• Draft, review, vet and prepare key legal documents including contracts, agreements, financing and loan documentation and property‑related agreements and instruments (SPA, tenancy, land matters).
• Involve in acquisition transactions where required, including time‑sensitive negotiations, reviewing NDAs, conducting property due diligence, commenting on and restructuring sale and purchase agreements, lease agreements and overseeing conditions until completion/registration of title or loan disbursement.
• Ensure and monitor legal and regulatory compliance with all applicable laws such as capital markets and securities law, company law, Bursa Main Market Listing Requirements, anti‑money laundering laws, anti‑bribery and corruption laws, personal data protection laws and other regulatory requirements under the purview of the assets of the REIT.
• Design and improve the compliance framework including drafting policies and procedures, compliance plans, standard operating procedures, manuals and other documentation.
• Handle regulator clarification and engagements with regulators and statutory bodies.
• Liaise with the REIT Trustee on legal compliance, compile Trustee’s documents and implement existing and new policies and frameworks, oversee day‑to‑day compliance effectiveness, prepare reports and updates for the Head of Legal & Secretariat.
• Lead implementation, monitoring and reporting of regulatory compliance requirements for CapitaLand entities in Malaysia covering anti‑money laundering laws, anti‑corruption laws, corporate governance, personal data, technology risk requirements and business‑related issues.
• Responsible for overall supervision of compliance with securities laws, regulations and guidelines and any other applicable law governing the regulated activities.
• Establish, review and enhance control systems, policies and monitoring programmes to detect, prevent and remediate compliance breaches.
• Act as a key liaison with regulatory authorities and provide necessary information during internal audits and external audits/enquiries by authorities/regulators.
• Attend to and resolve any legal, risk and compliance issues and breaches, including reporting suspicious transactions and non‑compliance to management, directors and regulatory authorities.
• Ensure timely and accurate compliance reporting to regulators, the Board and management committees.
• Drive continuous improvement through engagement with internal stakeholders, compliance risk assessments, gap analysis and remediation planning.
• Prepare board papers and reports for Head of Legal & Secretariat, senior management for board committee meetings and board meetings.
• Attend and participate in the General Meetings of the unitholders for the CapitaLand Malaysia Trust.
• Advise on trademark, dispute resolution, arbitration, employment and industrial relations matters.
• Manage and direct external counsels, solicitors and advisors ensuring cost‑effective, timely, and risk‑appropriate legal outcomes.
• Anticipate, assess and troubleshoot legal, risk and compliance issues that may arise from time to time.
• Carry out employee, senior management and director training sessions on key legal regulatory and compliance risk areas including Group and local policies and procedures.
• Able to project manage ad‑hoc projects and duties assigned.
• Able to work within tight timelines and in a changing environment.
• Leadership partner and collaborate with stakeholders of all levels to enable business growth while maintaining strong compliance and governance and control discipline.
• Project manage and contribute to ad‑hoc strategic projects, regulatory initiatives, and Group‑led compliance programmes to drive project success.
• Exercise sound judgement and integrity under ambiguity and make risk‑based decisions within tight timelines and evolving business and regulatory environments.
• Able to manage several projects concurrently while exercising mental agility, emotional intelligence and lead in uncertainty and constant changing environment.
