Job summary

Alliance Recruitment Agency seeks an experienced senior corporate lawyer to lead drafting and negotiations, coordinate with external counsels, and oversee transactional support in Mumbai. The role requires 7-10 years of experience in corporate transactions, M&A, fund-raising, debt financing, and commercial contracting.

You will work with business teams to structure deals, ensure regulatory compliance, and maintain a robust repository of documents to support timely, risk-aware outcomes.

Qualifications

• LLB from a reputed law school.
• 7-10 years of experience in corporate transactions, M&A, fund-raising, debt financing, and commercial contracting.
• Strong drafting, negotiation, and analytical skills.
• Ability to work efficiently in a fast-paced environment and manage multiple transactions simultaneously.
• Experience in working with business teams and external legal advisors.

Responsibilities

• Legal Documentation & Drafting: Prepare, review, and negotiate agreements, term sheets, shareholder agreements, loan agreements, employment contracts, and other key documents. Ensure legal accuracy, risk mitigation, and alignment with business objectives.
• External Counsel Management: Identify and engage external legal counsels or law firms for specialized and complex transactions. Coordinate with external advisors to ensure seamless execution of legal matters.
• Transaction Support & Execution: Work closely with internal teams to facilitate fund-raising, debt-raising, and investment transactions. Provide legal inputs and structuring advice to optimize commercial outcomes. Ensure compliance with regulatory and corporate governance requirements.
• Timely Completion of Assignments: Support the legal leadership in ensuring all documentation and legal tasks are completed within deadlines. Maintain a strong repository of legal documents and best practices for transactional matters.
