Xpress Services is seeking an experienced corporate lawyer in India to drive high-value M&A and strategic transactions. You will lead structuring, drafting, due diligence, and regulatory approvals, collaborating with senior management on deal strategy and post-closing integration.

The role demands 8–12 years of transaction-focused experience, a strong track record in M&A and joint ventures, and a proactive, client-facing approach to complex negotiations.

Qualificações

• Law degree from a recognized university.
• 8-12 years of transaction-focused legal experience.
• Experience in M&A, joint ventures, investments, and multi-party negotiations.
• Strong drafting and regulatory skills (merger control / FDI).
• Ownership mindset with sound judgment in ambiguous situations.

Responsabilidades

• Negotiate and draft merger, stock purchase and asset purchase agreements, disclosure schedules, ancillary documents, and post-closing arrangements.
• Structure earn-out, indemnification and escrow terms, balancing commercial objectives with legal protections.
• Lead mergers, acquisitions, joint ventures, investments, and strategic transactions across the full deal lifecycle.
• Conduct legal due diligence across corporate, financial, regulatory, and operational matters; prepare due diligence reports and risk memoranda.
• Manage regulatory approvals, including antitrust and merger control filings, foreign investment clearances, and industry-specific requirements.
• Advise senior management and business teams on deal strategy, post-closing integration, financings, governance, and international expansion.

Key Responsibilities:

• Strong sense of ownership and sound judgment in ambiguous situations.
• Confident and professional approach to client handling.
