Job summary

GMR Group in Delhi seeks a seasoned corporate lawyer to support the legal advisory function for corporate finance, assisting in drafting, reviewing and negotiating financing agreements until financial closure.

You will coordinate with senior counsel to ensure regulatory compliance, prepare NDAs and contracts, and contribute to funding transactions across debt, equity and project finance. 6+ PQE with knowledge of Companies Act, SEBI, FEMA and RBI circulars.

Qualifications

• 6 years of PQE in corporate legal function with fund-raising transactions.
• Good knowledge of Companies Act, SEBI, FEMA and RBI regulations.
• Strong presentation, negotiation and communication skills.

Responsibilities

• Support group-wide funding transactions (debt, project finance, equity) through drafting and negotiating legal documentation until financial closure.
• Draft, review and negotiate contracts including vendor agreements and NDAs for investor engagements.
• Ensure pre-disbursement and compliance requirements are met in line with transaction timelines.
• Provide legal advisory on sectoral regulatory frameworks and maintain ongoing compliance at project level.

Job Purpose

To support the legal advisory function for the Corporate finance function of GMR group by assisting in driving the transaction including drafting, reviewing and negotiating financing agreements until financial closure. Assisting Manager /Sr. Lead/Lead- counsel for the group, towards legal and regulatory compliance to safeguard the interest of the group and sectors.

Responsibilities

KEY ACCOUNTABILITIES

Support for Group-wide Funding Transactions (Debt, Project Finance, Equity)
Support the Legal Head and team in drafting and negotiating legal documentation for debt, equity, and project finance transactions until financial closure.
Draft and review security documentation, including security creation instruments.
Ensure all pre-commitment and pre-disbursement compliance requirements are met in line with transaction timelines.

Legal and Regulatory Compliance Advisory

Conduct research and provide legal advisory on sector‑specific regulatory frameworks applicable to infrastructure finance and security creation.
Support in ensuring ongoing compliance with applicable laws and regulations at the sectoral and project level.

Legal Support for General Corporate and Business Functions

Draft, review, and negotiate contracts and commercial agreements, including vendor agreements, sale/purchase contracts, and leave & license agreements.
Prepare and finalize NDAs for investor and advisory engagements in alignment with business objectives.

Education Qualifications

• Advising on day to day functions of the Company

Relevant Experience

6 Years of PQE in corporate legal function in a reputed law firm or as in house legal counsel in a Corporate and having experience in fund raising transactions (debt and equity), mergers, divestments, demerger, acquisitions etc.
Good knowledge of Companies Act, SEBI regulations, FEMA regulations and RBI Circulars/ notifications.
Good presentation, negotiation and communication skills
