Job summary

The Corporate Institute in Delhi seeks an experienced Senior M&A Counsel to lead complex transactions from structuring to closing. You will negotiate and draft merger and asset purchase agreements, supervise due diligence, and guide deal strategy with senior leadership.

You will manage regulatory filings, antitrust and FDI clearances, and coordinate cross-border matters while mentoring junior lawyers. Fluency in Hindi and English and a track record of multi-party negotiations are essential.

Qualifications

• 8–12 years of transaction-focused legal experience with law firms or tech companies.
• Strong drafting, due diligence and regulatory (merger control / FDI) skills.
• Ability to handle multi-party negotiations with ownership and judgment.
• Fluent in Hindi and English, with professional client handling.

• Structure earn-out, indemnification and escrow terms, balancing commercial objectives with legal protections.


• Lead mergers, acquisitions, joint ventures, investments, and strategic transactions across the full deal lifecycle.


• Conduct legal due diligence across corporate, financial, regulatory, and operational matters; prepare due diligence reports and risk memoranda.


• Manage regulatory approvals, including antitrust and merger control filings, foreign investment clearances, and industry-specific requirements.


• Advise senior management and business teams on deal strategy, post-closing integration, financings, governance, and international expansion.

Requirements:

• LLB / BA LLB / BBA LLB from a recognized university.


• 8 – 12 years of transaction-focused legal experience with law firms or fast-paced technology companies.


• Proven experience in M&A, joint ventures, investments, and multi-party negotiations.


• Strong drafting, due diligence, and regulatory (merger control / FDI) skills.


• Strong sense of ownership and sound judgment in ambiguous situations.


• Fluent in both Hindi and English, with a confident and professional approach to client handling.
