Job summary

Intellectual Capital HR Consulting Pvt. Ltd. in Mumbai seeks a Legal Manager/AVP to oversee lending documentation, co-lending agreements, and related legal work in BFSI.

The ideal candidate holds LLB/LLM and 4+ years PQE in Banking/NBFC or a law firm; strong knowledge of loan docs, RBI norms, and relevant acts; excellent communication and diligence are required.

Qualifications

• Working knowledge of Supply Chain Finance products and loan documentation.
• Understanding of Companies Act, Indian Contract Act, Sale of Goods Act, Transfer of Property Act, Hypothecation concepts, IBC and SARFAESI Act.
• Familiarity with RBI Master Directions for NBFCs, outsourcing & co-lending guidelines is a plus.
• Excellent communication, attention to detail, and strong analytical ability.

Responsibilities

• Review and vet legal documentation including facility agreements (secured/unsecured).
• Review co-lending agreements and SLAs, hypothecation deeds, guarantees, DPNs, and NDAs.
• Review constitutional documents and authorizations for lending transactions.
• Conduct legal research and track regulatory developments impacting NBFCs and financial services.
• Liaise with external legal counsel, law firms, and consultants for transaction support.
• Assist in maintaining legal documentation and records management systems.

Key Role Requirements

Education:
LLB / LLM

Experience:
415 years of post-qualification experience (PQE) in Banking, NBFC, Financial Services, or a law firm handling BFSI-related matters.

Mandatory Experience

• Experience in drafting or reviewing loan documentation, whether secured or unsecured, across lending products.
  

Preferred Experience (Not Mandatory)

• Exposure to Supply Chain Finance documentation
  
• Exposure to Co-lending structures and agreements
