Job summary

Intellectual Capital HR Consulting Pvt. Ltd. is seeking a Legal Manager/AVP in Mumbai to lead review and drafting of loan-related documentation for BFSI clients. The role requires LLB/LLM and deep knowledge of banking and NBFC regulations.

You will coordinate with external counsel, ensure regulatory compliance, and maintain robust records management across lending transactions. Excellent communication and analytical skills are essential.

Qualifications

• PQE in Banking, NBFC, Financial Services or BFSI law firm matters.
• Experience drafting or reviewing loan documentation (secured or unsecured).
• Exposure to Supply Chain Finance documentation is a plus.
• Exposure to co-lending structures and agreements is advantageous.
• Strong communication, attention to detail and analytical ability.
• Comfortable with documentation systems and technology platforms.
• Familiarity with RBI Master Directions for NBFCs, outsourcing and co-lending guidelines is beneficial.

Responsibilities

• Review and vet legal documentation including facility agreements (secured/unsecured), co-lending agreements, SLAs, hypothecation deeds, guarantees, DPNs and NDAs.
• Review constitutional documents and authorizations for lending transactions.
• Conduct legal research and track regulatory developments impacting NBFC and financial services operations.
• Liaise with external legal counsel, law firms and consultants for transaction and legal support.
• Assist in maintaining legal documentation and records management systems.

Education:
LLB / LLM

Experience:
415 years of post-qualification experience (PQE) in Banking, NBFC, Financial Services, or a law firm handling BFSI-related matters.

Mandatory Experience

• Experience in drafting or reviewing loan documentation, whether secured or unsecured, across lending products.
  

Preferred Experience (Not Mandatory)

• Exposure to Supply Chain Finance documentation
  
• Exposure to Co-lending structures and agreements
