Job summary

Intellectual Capital HR Consulting Pvt. Ltd. in Mumbai seeks a Legal Manager/AVP to lead lending documentation and BFSI legal matters.

The role requires LLB/LLM and extensive PQE in Banking, NBFC, Financial Services or law firms, with expertise in loan docs, co-lending agreements, and RBI guidelines.

You will review facility agreements, hypothecation deeds, NDAs, and ensure regulatory compliance, coordinating with external counsel.

Qualifications

• Working knowledge of Supply Chain Finance products and loan/security documentation.
• Strong understanding of Companies Act, Indian Contract Act, Sale of Goods Act, Transfer of Property Act, Hypothecation principles, IBC and SARFAESI Act.
• Familiarity with RBI Master Directions for NBFCs, outsourcing and co-lending guidelines is a plus.
• Excellent communication, attention to detail and strong analytical ability.
• Comfortable with documentation systems and technology platforms.

Responsibilities

• Review and vet legal documentation including facility agreements (secured/unsecured).
• Review co-lending agreements and SLAs, hypothecation deeds, guarantees, DPNs, and NDAs.
• Review corporate authorizations, board resolutions, and ancillary documents.
• Assess constitutional documents and authorizations for lending transactions.
• Conduct legal research and track regulatory developments impacting NBFC/financial services.
• Liaise with external counsel, law firms, and consultants for transaction support.
• Assist in maintaining legal documentation and records management systems.

LLB / LLM

Experience:
415 years of post-qualification experience (PQE) in Banking, NBFC, Financial Services, or a law firm handling BFSI-related matters.

Mandatory Experience

• Experience in drafting or reviewing loan documentation, whether secured or unsecured, across lending products.
  

Preferred Experience (Not Mandatory)

• Exposure to Supply Chain Finance documentation
  
• Exposure to Co-lending structures and agreements
