Job summary

Intellectual Capital HR Consulting Pvt. Ltd. in Mumbai seeks a Legal Manager/ AVP with LLB/LLM and 7–12+ PQE to lead drafting and review of loan documentation across secured and unsecured lending in BFSI contexts.

You will coordinate with external counsel, conduct regulatory tracking, and ensure compliance with RBI directions, Company Act, and related statutes, while maintaining robust records.

Qualifications

• Law degree with PQE in Banking, NBFC, BFSI or related law.
• Drafting/reviewing loan documentation across secured/unsecured lending.
• Familiarity with RBI directions, co-lending norms; advantageous.
• Excellent communication, attention to detail, analytical skills.
• Comfort with documentation systems and technology platforms.

Responsibilities

• Review and vet facility agreements (secured/unsecured).
• Review co-lending agreements, SLAs, NDAs, guarantees, DPNs.
• Review constitutional documents and authorizations for lending.
• Conduct legal/regulatory research impacting NBFCs & financial services.
• Liaise with external counsel and manage records systems.

Key Role Requirements

Education:
LLB / LLM

Experience:
415 years of post-qualification experience (PQE) in Banking, NBFC, Financial Services, or a law firm handling BFSI-related matters.

Mandatory Experience

• Experience in drafting or reviewing loan documentation, whether secured or unsecured, across lending products.
  

Preferred Experience (Not Mandatory)

• Exposure to Supply Chain Finance documentation
  
• Exposure to Co-lending structures and agreements
  

Required Qualifications & Skills

• Working knowledge of:
  
  • Supply Chain Finance products
    
  • Loan and security documentation
    
• Strong understanding of relevant laws including:
  
  • Companies Act
    
  • Indian Contract Act
    
  • Sale of Goods Act
    
  • Transfer of Property Act
    
  • Principles of Hypothecation

  • SARFAESI Act
    
• Understanding of RBI Master Directions applicable to NBFCs, outsourcing guidelines, and co-lending guidelines will be an advantage.

Key Responsibilities

• Review and vet legal documentation including:
  
  • Facility agreements (secured / unsecured)
    
  • Co-lending agreements and service level agreements (SLAs)
    
  • Hypothecation deeds, guarantees, demand promissory notes (DPNs), and non-disclosure agreements (NDAs)
    
  • Corporate authorizations, board resolutions, and ancillary documents
    
• Review constitutional documents and authorizations for lending transactions.
  
• Conduct legal research and track regulatory developments impacting NBFC and financial services operations.
  
• Liaise with external legal counsel, law firms, and consultants for transaction and legal support.
  
• Assist in maintaining legal documentation and records management systems.
