RoleOverview
We arelooking for a qualified Company Secretary with an LL.B. to join ourteam. The ideal candidate will have strong experience in corporate secretarialpractices, regulatory compliance, and legal documentation, preferably within an NBFC or financial services environment .
KeyResponsibilities
1.Secretarial & Corporate Governance
- Organize and manage BoardMeetings, Committee Meetings, and General Meetings , includingpreparation of agendas, notices, minutes, resolutions, and compliancechecklists.
- Ensure timely e-filing ofstatutory forms and returns with the ROC and RBI.
- Maintain statutory registers,records, and other corporate documents in accordance with the CompaniesAct, 2013 and applicable RBI guidelines.
- Handle compliances related tothe issuance, transfer, and dematerialization of securities .
- Support alteration of charterdocuments and compliances related to the appointment/reappointment ofDirectors and KMPs .
- Manage other event-based androutine corporate secretarial compliances
2. Legal& Regulatory Compliance
- Assist in drafting, reviewing,and executing facility and financing documents for creditfacilities extended to borrowers and received from lenders.
- Ensure end-to-end execution andmaintenance of legal documentation using IT-enabled tools and systems .
- Coordinate with regulators,auditors, legal counsel, RTAs, bankers, and external service providers on compliance and governance matters.
- Conduct legal and regulatoryresearch and circulate relevant legal/informational notes tointernal stakeholders.
- Support legal audits and ensurethe safe custody and maintenance of legal documents , both physicaland digital.
3. RBI& NBFC Compliance
- Monitor and ensure compliancewith RBI regulations applicable to NBFCs .
- Assist in the preparation andsubmission of periodic reports, statements, and returns to the RBI.
- Track changes in RBI regulationsand other applicable regulatory frameworks.
- Support management and internalstakeholders with updates and guidance on relevant regulatory changes.
KeyRequirements
- Qualified Company Secretary (CS)and LL.B.
- 3–6 years of relevant experience in corporate secretarial,legal, and regulatory compliance roles.
- Prior experience in an NBFC,financial institution, banking, or financial services organization willbe preferred.
- Strong understanding of the CompaniesAct, 2013, RBI regulations, and NBFC regulatory framework .
- Excellent legal drafting,documentation, proofreading, and communication skills .
- Ability to understand andinterpret legal and financial documents.
- Strong stakeholder managementand coordination skills.
- High level of attention todetail, integrity, confidentiality, and ownership .
- Ability to work effectively in afast-paced environment and manage multiple priorities.
PreferredCandidate Profile
A candidatewith strong hands-on exposure to corporate secretarial compliance, RBI/NBFCregulations, legal documentation, and corporate governance , along withexcellent drafting and stakeholder-management skills, would be ideal for thisrole.
