Qualifications

  • Qualified CS from ICSI with 1–2 years of relevant experience.
  • Strong knowledge of Companies Act, 2013 and MCA/ROC compliances.
  • Hands-on experience in maintaining statutory records and corporate docs.
  • Good written and verbal communication skills.
  • Ability to coordinate with internal and external stakeholders and meet deadlines.

Job description

Job Overview:

We are looking for a Company Secretary (CS) with 1-2 years of relevant experience to manage and support the company's secretarial, statutory, corporate governance, and regulatory compliance activities.

The candidate will work closely with the management, finance team, legal advisors, auditors, and external consultants to ensure timely and accurate completion of corporate and statutory compliances.


Key Responsibilities:

  • Manage day-to-day company secretarial and statutory compliance activities.
  • Ensure compliance with the Companies Act, 2013 and applicable rules and regulations.
  • Handle MCA/ROC filings, including annual and event-based filings.
  • Maintain statutory registers, minutes books, corporate records, and other secretarial documents.
  • Prepare notices, agendas, resolutions, minutes, and supporting documents for Board and General Meetings.
  • Coordinate and support the conduct of Board Meetings, General Meetings, and other statutory meetings.
  • Track statutory and regulatory compliance deadlines and ensure timely completion.
  • Handle documentation related to director appointments, resignations, share allotments, transfers, and other corporate actions.
  • Assist with maintenance and updating of statutory and corporate records.
  • Coordinate with auditors, legal advisors, consultants, and other external stakeholders.
  • Support annual filings, ROC compliances, and other MCA-related submissions.
  • Assist with corporate documentation, declarations, resolutions, agreements, and other secretarial matters.
  • Monitor changes in applicable laws and regulations and highlight relevant compliance requirements.
  • Support due diligence, audits, fundraising/investor documentation, and other corporate transactions, as required.
  • Coordinate with internal departments for information and documents required for statutory filings.
  • Maintain compliance trackers and ensure proper documentation of all secretarial activities.

Candidate Requirements:

  • Qualified Company Secretary (CS) from the Institute of Company Secretaries of India (ICSI).
  • 1-2 years of relevant experience in company secretarial and compliance functions.
  • Strong practical knowledge of the Companies Act, 2013 and MCA/ROC compliances.
  • Hands‑on experience in preparing and maintaining statutory records and corporate documentation.
  • Good written and verbal communication skills.
  • Strong attention to detail and ability to manage multiple compliance deadlines.
  • Ability to work independently as well as coordinate with internal and external stakeholders.

Preferred Experience:

Candidates with experience in a Private Limited Company, start-up, technology company, or fast-growing organization will be preferred.


Exposure to FEMA, RBI, SEBI, ESOPs, fundraising, due diligence, or corporate transactions will be an added advantage.
