Job summary

Adani Ports and SEZ is seeking a senior deal and corporate development professional to build relationships with investment banks, funds, and intermediaries to source proprietary opportunities globally; identify acquisitions and special situations across ports and infrastructure.

You will lead end-to-end deal structuring, work with Strategy, Treasury, Legal, Tax, and Operations, manage cross-border due diligence, negotiations, and prepare investment notes and Board presentations.

Qualifications

• CA or equivalent qualification in M&A or corporate development.
• Experience in M&A, Corporate Development, Investment Banking, Infrastructure Investments, Private Equity, or Transaction Advisory.

Responsibilities

• Build and manage relationships with investment banks, advisors, funds, and intermediaries to source deal opportunities globally.
• Identify and evaluate potential acquisitions, greenfield projects, special situations, and distressed assets across ports, logistics, transportation, and infrastructure.
• Lead end-to-end deal structuring, including debt and equity financing and tax structuring.
• Coordinate with Strategy, Treasury, Legal, Tax, and Operations to ensure seamless deal execution.
• Manage cross-border due diligence, negotiations, and regulatory approvals; prepare investment notes and board presentations.

Job description

• Build and manage strong relationships with domestic and international investment banks, advisors, global funds, restructuring desks, and other intermediaries to source proprietary and semi-proprietary deal opportunities globally.
• Identify and evaluate potential acquisitions (including greenfield projects), special situations, stressed/distressed assets, and financial restructuring opportunities across ports, logistics, transportation, and allied infrastructure sectors globally.
• Lead end-to-end deal structuring, including financial structuring (debt and equity) and tax structuring.
• Work closely with internal teams including Strategy, Treasury, Legal, Tax, and Operations to ensure seamless deal execution.
• Manage cross-border due diligence, negotiations, transaction documentation, regulatory approvals, and deal closures with international stakeholders.
• Prepare investment notes, valuation models, and Board/Investment Committee presentations.
• Track global sector trends, capital flows, and restructuring opportunities relevant to the organization’s growth agenda.
• Strong understanding of M&A, corporate finance, valuation, and transaction execution.
• Expertise in financial modeling, investment analysis, and deal structuring.
• Strong negotiation, stakeholder management, analytical, and presentation skills.
• Experience in managing cross-border transactions and complex deal processes.
