Job summary

Top law firm in Dublin 2 is seeking an experienced Corporate M&A Solicitor to join its Projects & Energy team. You will work on buy-side and sell-side transactions and draft and settle board minutes, stock transfer forms, and other completion ancillaries as part of share acquisitions and disposals.

The role further involves corporate due diligence, drafting and negotiating NDAs and other commercial agreements, preparing CRO filings, and assisting partners with core transaction documents such as

Qualifications

• Minimum 1–3 years PQE in a large or medium corporate law firm.
• Experience in buy-side and sell-side M&A transactions.
• Strong drafting background in corporate documents and agreements.

Responsibilities

• Work on buy-side and sell-side M&A transactions.
• Draft and settle board minutes, letters of resignation, stock transfer forms and other completion ancillaries.
• Conduct corporate due diligence as part of asset and share acquisitions.
• Draft and negotiate NDAs and other commercial agreements.
• Prepare and file CRO forms for share acquisitions and disposals.
• Support partners drafting core transaction documents (SPAs, SHAs, Disclosure Letters).

The Role

• Work on buy-side and sell-side M&A transactions
• Drafting and settling board minutes, letters of resignation, stock transfer forms and other completion ancillaries as part of share acquisitions and disposals;
• Corporate due diligence as part of asset and share acquisitions;
• Drafting and negotiating non-disclosure agreements and other similar commercial agreements;
• Preparing and filing CRO forms as part of share acquisitions and disposals;
• Providing support to the partners drafting and negotiating the core transaction documents – SPAs, SHAs, Disclosure Letters, etc.

Skills and Experience

The ideal candidate will have a minimum of 1-3 years relevant PQE within a large or medium corporate law firm.
