Consulting Vanuatu Limited seeks a Corporate Solicitor in Ireland to join a leading corporate team. You will work on sophisticated transactions, commercial contracts, and advisory matters in a collaborative setting with partners and colleagues.

Qualifications

• 2-3 years' post-qualification experience in corporate law.
• Strong drafting, negotiation and legal research skills.
• Excellent analytical ability and commercial judgement.

Responsibilities

• Assist on a broad range of private and public sector corporate transactions.
• Conduct and manage due diligence, preparing comprehensive reports.
• Draft, review and negotiate key transaction documents including SPAs, APAs, shareholder and JV agreements.
• Manage disclosure processes and prepare disclosure letters.
• Prepare board minutes, shareholder resolutions and completion documents.
• Advise on corporate restructurings and reorganisations with strategic input.
• Draft and negotiate a wide array of commercial contracts and provide practical advice.
• Undertake legal research and provide corporate and commercial advisory support.
• Contribute to business development and growth of the Corporate practice.
• Participate in knowledge-sharing, training and development within the department.

Our client, has one of Ireland's leading Corporate teams, advising an impressive portfolio of public and private sector clients across a broad range of industries. The team is involved in a wide variety of high-value corporate transactions, strategic advisory work and complex commercial matters.

Due to continued growth, the firm is seeking to appoint a Corporate Solicitor to join its expanding practice.

This role offers exposure to sophisticated corporate transactions, commercial contracts and advisory work, including unique mandates with significant strategic and public policy elements. Working alongside experienced partners and a collaborative team, you will have the opportunity to build long-term client relationships while developing your technical and commercial expertise.

Salary: to €95k

Total Package: up to €130k

Duties & Responsibilities

• Assist on a broad range of private and public sector corporate transactions.
• Conduct and manage legal due diligence exercises, preparing comprehensive due diligence reports.
• Draft, review and negotiate key transaction documents, including Share Purchase Agreements, Asset Purchase Agreements, shareholder agreements and joint venture agreements.
• Manage disclosure processes, including the preparation and review of disclosure letters.
• Prepare ancillary transaction documentation, including board minutes, shareholder resolutions and completion documents.
• Advise on corporate restructurings and reorganisations, providing strategic legal support throughout the process.
• Draft and negotiate a wide variety of commercial contracts and provide practical commercial advice to clients.
• Undertake legal research and provide corporate and commercial advisory support across a diverse range of matters.
• Contribute to business development initiatives and support the continued growth of the Corporate practice.
• Participate in knowledge-sharing initiatives, training programmes and the ongoing development of the department.

The Person

This role will suit an ambitious Corporate Solicitor looking to further develop their career within a highly regarded and collaborative practice. You will have excellent technical ability, strong commercial awareness and the confidence to work on complex, high-value transactions.

The successful candidate will also demonstrate:

• 2-3 years' post-qualification experience in corporate law, with exposure to commercial contracts.

• Excellent analytical ability and commercial judgement.Strong communication and relationship management skills.
• Experience managing multiple transactions and competing deadlines.

• Experience advising public sector clients would be advantageous but is not essential.
