Tanamera Mitra Sentosa seeks a Corporate Legal & Compliance Coordinator to support corporate legal administration, governance, and licensing across Indonesian PT entities. You will manage documents, track regulatory filings, and coordinate Board and shareholder materials.
Ideal candidates hold a law degree with 3–5 years in corporate legal/compliance, and have strong drafting and stakeholder coordination skills to ensure timely compliance across Tanamera Group.
Support the Group Head of HR & Corporate Services in managing corporate legal administration, governance, statutory compliance, licensing, contracts, and corporate documentation across multiple Indonesian legal entities within Tanamera Group.
Key responsibilities
Maintain and administer corporate legal documents across multiple PT entities, including Deeds of Establishment and Amendments, AHU documents, NIB, KBLI, and other statutory corporate records.
Maintain accurate and up-to-date corporate governance and statutory compliance records.
Coordinate the preparation and administration of Board of Directors, Commissioners, Shareholders, and RUPS documentation, including resolutions and Minutes of Meetings.
Maintain corporate document registers and ensure proper filing, confidentiality, accessibility, and document control.
Monitor company licenses, permits, registrations, certifications, and other statutory obligations, including their validity and renewal schedules.
Coordinate business licensing and corporate administration through OSS-RBA, AHU, and other relevant government systems or authorities.
Liaise and coordinate with Notaries, external legal counsel, government authorities, landlords, vendors, and other external parties on legal and compliance matters.
Draft, review, and administer commercial agreements, NDAs, MoUs, vendor agreements, lease agreements, service agreements, and other corporate contracts.
Maintain the Contract & Legal Document Tracker, including contract validity, renewal dates, termination periods, and key contractual obligations.
Conduct preliminary reviews of contracts and legal documents and elevate material legal risks or issues to the Group Head of HR & Corporate Services and/or external legal counsel.
About you
Bachelor's degree in Law (S.H.) from a reputable university.
Minimum 3–5 years of experience in Corporate Legal, Legal & Compliance, Corporate Secretary, or related functions.
Good understanding of Indonesian corporate law, company administration, corporate governance, and business licensing.
Familiar with UU Perseroan Terbatas, AHU, OSS-RBA, NIB, KBLI, and general corporate statutory requirements.
Experience handling legal and corporate documentation for multiple PT entities is preferred.
Good contract drafting and legal document review skills.
Experience coordinating with Notaries, government authorities, and external legal counsel.
Strong administrative, document-control, and compliance-monitoring capabilities.
Excellent attention to detail and ability to manage multiple deadlines and legal documents simultaneously.
Strong communication and stakeholder coordination skills.
