Job summary

PT Karyagraha Nusantara is seeking a Corporate Legal professional to provide strategic legal guidance across our business operations in Indonesia. You will ensure compliance with corporate and commercial law while supporting growth initiatives, governance, and risk management.

The role requires strong drafting, negotiation, and advisory skills, experience with corporate transactions including mergers and acquisitions, and familiarity with OSS-RBA licensing.

Qualifications

• Bachelor's Degree in Law is required.
• 3–5 years post-qualification experience in corporate and commercial law.
• Strong knowledge of Indonesian corporate law, commercial contracts, and regulatory requirements.
• Experience in corporate transactions and contract negotiations.
• Professional qualification as an advocate or lawyer in Indonesia.
• Familiar with OSS-RBA licensing platforms (NIB, AHU, KBLI).

Responsibilities

• Provide strategic legal guidance on corporate governance, regulatory compliance, and corporate structuring matters.
• Draft, review, and negotiate commercial agreements and instruments to support business operations and strategic initiatives.
• Advise on and support mergers, acquisitions, RUPS, and other corporate transactions, including due diligence processes.
• Ensure compliance with Indonesian corporate law, company regulations, and applicable legislation relevant to business activities.
• Conduct legal risk assessments and provide recommendations to mitigate identified risks.
• Liaise with external legal counsel, government institutions, and other stakeholders as required.
• Maintain and develop corporate legal documentation, templates, and policies.
• Provide guidance on intellectual property protection and privacy law compliance.
• Support the company in responding to legal inquiries and regulatory matters.

About the role

We are seeking a Corporate Legal professional to provide strategic legal guidance and support to our business operations. As Corporate Legal, you will be instrumental in ensuring that PT Karyagraha Nusantara operates in full compliance with Indonesian corporate and commercial law whilst protecting our interests and supporting our growth objectives.

Key responsibilities

Provide comprehensive legal advice on corporate governance, regulatory compliance, and corporate structuring matters

Draft, review, and negotiate commercial agreements, contracts, and legal instruments to support business operations and strategic initiatives

Advise on and support mergers, acquisitions, RUPS, and other corporate transactions, including due diligence processes

Ensure compliance with Indonesian corporate law, company regulations, and applicable legislation relevant to business activities

What we're looking for

Candidate must possess at least Bachelor's Degree in Law

Minimum 3-5 years of post-qualification experience in corporate and commercial law, preferably gained in a law firm or in-house legal department

Strong knowledge of Indonesian corporate law, commercial contracts, and regulatory requirements

Demonstrated experience in corporate transaction work, including contracts and commercial negotiations

Familiar with government licensing platform OSS-RBA (NIB, AHU, KBLI)

Excellent drafting and legal writing skills with the ability to communicate complex legal concepts clearly

Strong research and analytical capabilities with meticulous attention to detail

Ability to work independently and collaboratively within a team environment

Professional qualification as an advocate or lawyer in Indonesia

Preferred experience in specific industries such as manufacturing, real-estate, property management, palm-oil plantation, tourism-hospitality services.
