Qualifikationen

• 7-10 years of commercial law experience in a large law firm or in-house at a technology or BPaaS/outsourced-services company.
• Experience structuring, negotiating, and closing BPaaS, BPO, or managed services agreements.
• Experience with SLAs, delegated functions, risk and liability allocation, and data rights.
• Familiarity with regulatory and accreditation requirements for delegated or outsourced functions in healthcare or regulated industries (URAC, NCQA, state delegation/TPA).
• Ability to draft and close complex BPaaS and commercial agreements independently with limited senior support.
• Ability to guide junior team members on BPaaS deal structuring.
• Strong organizational and interpersonal skills; capable of distributed team collaboration.

• Draft, review, negotiate, and close BPaaS, SOWs, SaaS subscriptions, licenses, services agreements, and related documents.
• Lead BPaaS and BPO engagements, including delegated administration and managed services arrangements.
• Advise on SLAs, risk allocation, data ownership and portability, and termination provisions.
• Coordinate with Finance, Marketing, Professional Services, Security, IT, and other groups on contracts.
• Monitor data privacy, delegated functions, and applicable laws and regulations.
• Support acquisitions and strategic alliances via due diligence and purchase agreements.
• Create and maintain standard templates, processes, and internal policies.
• Interface with outside counsel and manage external support.
• Work across multiple time zones in a hybrid or remote environment.

• Draft, review, negotiate, and close commercial contracts, including BPaaS MSAs, SOWs, SaaS subscription contracts, license and services agreements, service orders, and related documents
• Serve as lead counsel on BPaaS and BPO engagements, including delegated administration and managed services arrangements
• Advise on SLAs, risk and liability allocation, data ownership and portability, and termination/transition provisions
• Coordinate with Finance, Marketing, Professional Services, Security, IT, and other groups on commercial contracting
• Monitor and provide guidance on data privacy, delegated-function, and other applicable laws and regulations
• Support acquisitions and strategic alliances through due diligence and purchase and sale agreement negotiations
• Create and maintain standard templates, business processes, and internal policies
• Interface with and manage outside counsel support
• Work across multiple time zones using video technology in a hybrid or remote environment

Requirements

• 7-10 years of commercial law experience, including work in a large law firm or in-house at a technology or BPaaS/outsourced-services company; comparable backgrounds considered
• Demonstrated experience structuring, negotiating, and closing BPaaS, BPO, or managed services agreements
• Experience with SLAs, delegated functions, risk and liability allocation, and data rights
• Familiarity with regulatory and accreditation requirements for delegated or outsourced business functions in healthcare or another highly regulated industry, including URAC, NCQA, and state delegation/TPA requirements
• Ability to draft and close complex BPaaS and commercial agreements independently with minimal senior support
• Ability to advise less-experienced legal team members on BPaaS deal structuring
• Strong organizational and interpersonal skills
• Ability to work effectively within a distributed team and fast-paced business environment
• Self-motivation and proactive approach to resolving varied legal issues
• May be required to complete a pre-employment criminal background check
