Job summary

Jobgether is seeking a Senior Corporate Counsel based in Switzerland to lead global securities law compliance, corporate governance, and cross-border transactions for a late-stage, globally distributed technology company. The role oversees international subsidiaries, employee equity programs, and complex M&A/financing activities.

You will work across jurisdictions with a pragmatic, business-oriented approach, advising cross-functional teams on IP, licensing, and open-source considerations, while

Qualifications

• JD from a US-accredited law school and admission to practice in a US state.
• At least five years of legal practice experience.
• Strong expertise in securities law, corporate governance, and private/late-stage companies.
• Experience managing international subsidiaries and complex transactions (financing rounds, M&A, equity, investments).
• Experience overseeing employee equity programs and stock plans.
• Knowledge of IP, software integrations, licensing, and open-source licensing.
• International legal experience and cross-border regulatory familiarity.
• Ability to manage multiple matters, prioritize, and work independently.
• Pragmatic, commercially minded approach.
• Collaborative and open to learning across diverse teams.

Responsibilities

• Lead global securities law compliance and governance for a late-stage private company.
• Manage international subsidiary structure, boards, records, reorganizations, intercompany agreements.
• Support board governance with agendas, materials, and accurate meeting records.
• Oversee employee equity programs and stock sale transactions.
• Lead fundraising, M&A, financing, and other strategic transactions.
• Develop scalable legal and business processes for international operations.
• Advise on IP, licensing, and open-source licensing considerations.
• Translate complex legal matters into practical recommendations aligned with business goals.
