Job Overview:

ZenaTech is seeking a Senior Corporate Counsel to join our in-house Legal Department in Toronto. Reporting to senior legal leadership, this role carries significant responsibility for major public and private company transactions and provides specialized senior-level capacity to the team. You will supervise our junior counsels, work directly with other members of our legal team, and coordinate closely with outside counsel on the company's most significant matters. This is an ideal role for a corporate/securities lawyer with meaningful transactional experience who is ready to take ownership of complex, cross-border deals at a Nasdaq-listed technology company.

Key Responsibilities:
  • Lead and manage significant private and public company transactions, from planning through execution.
  • Supervise, mentor, and review the work of junior counsels.
  • Coordinate and manage relationships with outside counsel on major transactions and specialized matters.
  • Advise on securities law compliance, including obligations applicable to foreign private issuers (FPIs) and companies using the Multijurisdictional Disclosure System (MJDS).
  • Support continuous disclosure, corporate governance, and cross-border regulatory obligations across the company's listings.
  • Draft and negotiate complex transactional, commercial and securities documentation.
Qualifications:
  • Licensed to practice law in Ontario (member in good standing with the Law Society of Ontario) for approximately 3-6 years.
  • Experience with significant public company transactions, including spin-offs, IPOs, bids and/or direct listings.
  • Experience with MJDS and/or FPI companies, and preparation of securities documents and disclosures, including familiarity with applicable U.S. SEC rules, will be considered a strong asset.
  • Demonstrated ability to supervise and coordinate the work of other lawyers.
  • Experience in AI, data privacy, or related technology-sector legal matters is a strong asset.
  • Excellent judgment, drafting, and negotiation skills, with the ability to manage multiple major transactions simultaneously.
