Job summary

ZenaTech, Inc. is seeking a junior Corporate Counsel to join our growing in‑house Legal Department in Toronto. This role reports to the Senior Corporate Counsel and supports corporate, commercial and public company matters.

You will handle securities filings, governance matters, contract drafting (NDAs, LOIs, vendor agreements), and legal research, while collaborating with stakeholders and outside counsel. Opportunity to grow as the company scales and navigates complex regimes.

Qualifications

• 1–3 years of corporate/securities legal experience at a recognized firm or in‑house
• Licensed to practice law in Ontario (LSO in good standing)
• Public company experience required whether in private practice or in‑house
• Strong drafting, research, and organizational skills with ability to manage deadlines

Responsibilities

• Support day‑to‑day corporate and commercial matters under Senior Corporate Counsel
• Assist with public company obligations, including securities filings and governance
• Draft, review, and negotiate NDAs, LOIs, vendor agreements, and similar contracts
• Conduct legal research and prepare memoranda on emerging issues affecting the company
• Support M&A transactions and coordinate with internal stakeholders and outside counsel
• Help develop and improve internal processes, templates, and precedents as the team scales

Job Overview:

ZenaTech is seeking a Corporate Counsel to join our growing in-house Legal Department in Toronto. This is a junior-level role reporting to the Senior Corporate Counsel team. As the volume of legal work continues to grow, you will play a key role in supporting the full range of corporate, commercial and public company matters, gaining hands‑on experience across a broad and sophisticated docket at a Nasdaq‑listed technology company.

Key Responsibilities:

• Support the Legal Department across day‑to‑day corporate and commercial legal matters, working under the direction of the Senior Corporate Counsel team.
• Assist with public company obligations, including securities filings, continuous disclosure, and corporate governance matters.
• Draft, review, and negotiate a variety of commercial and corporate agreements, including NDAs, LOIs, vendor agreements, etc.
• Conduct legal research and prepare memoranda on emerging issues affecting the company.
• Support M&A transactions and coordinate with internal stakeholders and, where appropriate, outside counsel.
• Help develop and improve internal processes, templates, and precedents as the company and legal department scales.

Qualifications:

• Licensed to practice law in Ontario (member in good standing with the Law Society of Ontario).
• 1-3 years of relevant corporate/securities legal experience at a recognized law firm or in‑house legal department.
• Some public company experience is required, whether gained in private practice or in‑house.
• Solid grounding in corporate law, securities regulation, and commercial contracting.
• Strong drafting, research, and organizational skills, with the ability to manage a high volume of matters and competing deadlines.
• A collaborative, detail‑oriented approach and the ability to work effectively under the supervision of senior counsel.
