Job summary

Our client, a well-established entity, seeks a Remote Legal Counsel to oversee corporate and commercial affairs. This fully remote role enables work from anywhere in South Africa, focusing on governance, contracts, regulatory compliance, and potential transactions.

You will collaborate with senior management to support operations and strategic goals, manage external counsel, and ensure adherence to South African laws. A seasoned lawyer with 6+ years PQE is ideal.

Qualifications

• LLB degree or equivalent.
• Admitted as Attorney or Advocate of the High Court of SA.
• Minimum 6 years post-qualification in corporate and commercial law.
• Experience drafting and negotiating complex commercial contracts.
• Strong knowledge of SA company law and regulatory frameworks.
• Excellent analytical, negotiation, and communication skills.
• Ability to work autonomously in a remote environment.

Responsibilities

• Provide strategic legal advice on governance, compliance, and regulatory matters.
• Draft, review, and negotiate broad range of commercial contracts.
• Advise on risk management and strategic initiatives.
• Support mergers, acquisitions, divestitures, due diligence and transaction documentation.
• Manage relationships with external counsel and government agencies.
• Develop and implement corporate policies and procedures.
• Conduct legal research and provide timely counsel remotely.
