Job summary

PwC Australia is seeking a Manager or Senior Manager in our Business Tax team focused on Employee Share Schemes. You’ll advise private businesses on tax and commercial aspects of ESS and incentive arrangements, working with founder-led, privately owned and high-growth clients.

Qualifications

• Experience in tax, legal, accounting, M&A, or private business advisory related to ESS and incentive structures.
• Strong analytical and problem-solving skills with ability to apply technical issues to client situations.
• Excellent communication skills to explain complex concepts to clients and stakeholders.

Responsibilities

• Advise private businesses on employee share schemes, equity incentives, option plans and broader reward structures.
• Guide clients through tax implications of schemes and how structures affect founders, employees and stakeholders.
• Design and interpret scheme documents, shareholder agreements and transaction materials with legal support as needed.
• Support clients through growth, succession, capital raises, restructures, acquisitions, exits, vesting and IPOs.
• Determine eligibility for ESS tax concessions and manage reporting to tax authorities and employees.
• Prepare clear client advice and recommendations on complex tax and reward issues.
• Collaborate across tax, legal, private business, deals, valuations, payroll and reward teams for integrated advice.
• Lead day-to-day client delivery, manage workstreams and support team members.
