PwC Australia is seeking a Manager/Senior Manager to lead advisory work on employee share schemes and incentive arrangements for founder-led and high-growth private businesses in Australia. You will advise on tax and commercial dimensions, design scheme documents, and collaborate with PwC’s legal specialists to support clients through growth, capital events and restructures.

Qualifications

Experience across tax, legal, accounting, private business advisory, M&A, deals or corporate advisory.
Genuine interest in employee share schemes, equity incentives and ownership.
Confidence reading and working with legal/commercial documents with support from specialists.
Strong analytical and problem-solving skills with the ability to translate complex issues for clients.

Responsibilities

Advise private businesses on employee share schemes, equity incentives and related structures.
Explain tax implications of ESS and how structures affect founders, employees and stakeholders.
Prepare scheme docs, shareholder agreements and transaction materials with legal partners.
Lead client delivery, manage workstreams and contribute to business development.
Collaborate with tax, legal, deals, payroll and reward teams to deliver integrated advice.
