Job summary

PwC Australia is seeking a Manager/Senior Manager in the Employee Share Schemes team within Business Tax. You will advise private businesses on ESS, equity incentives and related structures, guiding clients through tax and commercial implications for founders, employees and stakeholders.

This role focuses on ESS, reward arrangements and tax consulting rather than traditional Business Tax work, offering exposure to growth-stage businesses and listed transaction considerations with

Qualifications

Responsibilities

• Advise private businesses on employee share schemes, equity incentives, option plans and broader reward structures.

• Design and interpret scheme documents and shareholder agreements in collaboration with PwC's legal specialists.
• Support clients through growth, succession, capital raises, restructures, acquisitions and IPOs.
• Lead day-to-day client delivery, manage workstreams and contribute to business development.
• Prepare client-ready advice, presentations and recommendations on complex tax and reward issues.
• Collaborate across tax, legal, private business and deals teams to deliver integrated advice.

What you’ll do:

• Advise private businesses on employee share schemes, equity incentives, option plans, performance rights and broader reward structures.
• Guide clients through the tax implications of these schemes and how different structures affect the business, founders, employees and other stakeholders.
• Design and interpret scheme documents, shareholder agreements and transaction materials, partnering with PwC's legal specialists where needed.
• Support clients through pivotal events — growth phases, succession planning, capital raises, restructures, acquisitions, exits, vesting, buy‑backs and IPOs.
• Determine eligibility for relevant ESS tax concessions and manage reporting obligations to tax authorities and employees.
• Prepare clear, commercially relevant client advice, presentations and recommendations on complex tax and reward issues.
• Collaborate across tax, legal, private business, deals, valuations, payroll and reward teams to deliver integrated advice.
• Lead day‑to‑day client delivery, manage workstreams, support team members and contribute to business development.

What we’re looking for:

Core skills

• Experience across one or more relevant areas such as tax, legal, accounting, private business advisory, M&A, deals, corporate advisory, employment taxes or reward.
• A genuine interest in employee share schemes, reward and employee ownership, and how tax advice supports broader business and people outcomes.
• Confidence reading and working with legal and commercial documents, with support from legal specialists where required.
• Strong analytical and problem‑solving skills, applying technical issues to real client situations.
• Clear communication skills that make complex concepts practical and accessible for clients and stakeholders.
• Strong project management skills, attention to detail and the ability to balance competing priorities.

Desirable skills

• Experience with executive reward, equity incentives, start‑up concessions, private company transactions or shareholder arrangements.
• CA, CPA, legal, tax, finance or other relevant professional qualification, or progress towards one.
