Job summary

ADNOC Group is seeking a Senior Specialist, Corporate Governance to develop and implement governance practices aligned with regulatory requirements and industry standards. The role focuses on ADNOC’s policies & procedures framework, supporting design and implementation of governance systems and facilitating effective information flow.

You will collaborate with internal teams and external bodies, monitor policy changes, draft frameworks, and contribute to training materials.

Qualifications

• Bachelor’s Degree from a recognized institute.
• Professional proficiency in English language (written and spoken).
• Arabic language skills (written and spoken) are an advantage.

Responsibilities

• Monitor changes in corporate, functional, and divisional policies and advise updates on the documentation, policies and procedures.
• Provide technical advice related to governance policy development, including review and analysis of issues and trends, and research activities relating to ADNOC’s governance program.
• Lead in regular review, update and drafting of the corporate governance frameworks by which the ADNOC Group is directed, controlled and held accountable, focusing on policies, procedures, operating frameworks and related mechanisms.
• Define and ensure compliance with the ADNOC Group’s authority hierarchy and the roles and limits of authority holders as a second line of defence on governance matters.
• Identify requirements, set standards and ensure awareness, knowledge and transparency on best corporate governance practices.
• Collaborate with internal stakeholders to provide guidance and advice on governance related matters.
• Escalate any identified risks and report breaches for resolution per authority delegations.
• Manage day-to-day governance topics, including documents, policies, standards and frameworks amendments or execution.
• Collaborate with external auditors and regulatory authorities to ensure reporting compliance.
• Support in designing and issuing training materials for relevant stakeholders on governance topics.
• Prepare clear cover memos, letters, resolutions and amendments as required for governance duties.
• Establish upskilling training and development for Specialist and support Manager on performance reviews.
• Assist Manager with day-to-day reporting of division mandates.
• Work with cross-functional stakeholders to deliver on the strategic intent of the role.
