Position Summary:

The Corporate Services Manager will take full ownership of the lifecycle of all group companies across multiple international jurisdictions. This role involves managing new entity setups, overseeing trade license renewals and annual compliance filings, maintaining entities in good standing, and serving as the primary liaison with global corporate service providers (CSPs), legal counsels, registered agents, and government registries.

Key Responsibilities:
Global Entity Formation & Structuring:
  • Lead the end-to-end setup and incorporation process for new group subsidiaries and special purpose vehicles (SPVs) across various global jurisdictions (Free Zones, Onshore, Offshore, and Cross-Border entities).
  • Coordinate with internal tax, finance, and legal teams to align corporate setups with operational and structural needs.
Corporate Entity Management & Compliance:
  • Maintain the group's global corporate portfolio to ensure all entities remain in Good Standing in their respective jurisdictions.
  • Oversee corporate renewals, trade licenses, annual return filings, and statutory register updates.
  • Manage board resolutions, shareholder agreements, Powers of Attorney (PoAs), share transfers, and structural amendments.
Governance & Document Legalization:
  • Centralize and maintain audit-ready corporate records, certificates, and legal documentation for all global entities.
  • Coordinate international document legalization, attestation, apostille, and notary procedures across jurisdictions.
  • Act as the primary focal point between the holding company and external registered agents, corporate service providers, law firms, notary publics, and regulatory authorities globally.
  • Negotiate terms, optimize administrative timelines, and review service fee structures with external service providers.
Requirements & Qualifications:
Education:
  • Bachelor’s degree in Law (LL.B.), Corporate Governance, Business Administration, or a related field.
Experience:
  • 5+ years of direct experience in corporate secretarial work, global entity management, or corporate services within an international holding company, corporate service provider (CSP), or multinational corporate group.
Jurisdictional Expertise:
  • Strong knowledge of corporate setup procedures in the UAE (DET, DIFC, ADGM, and Free Zones) as well as key international onshore/offshore jurisdictions (e.g., UK, Europe, BVI, Cayman Islands, Singapore, etc.).
Skills:
  • Deep understanding of international corporate governance, compliance standards, and corporate secretarial practices.
  • Exceptional organizational skills with precise attention to detail.
  • Excellent command of written and spoken English (Arabic or additional languages are an advantage).

  • Competitive compensation package.
  • A strategic role with high visibility at the holding level.
  • Dynamic and multicultural working environment in Dubai.
