Placements24 client, a prominent listed company headquartered in Pretoria, Gauteng, is seeking a skilled Legal Counsel specializing in Corporate Governance. The role combines advisory work for the board and committees with ensuring compliance with the Companies Act, King IV, and JSE Listing Requirements in a hybrid work setting.

You will oversee statutory obligations, prepare meeting materials, review governance policies, manage insider trading disclosures, and provide legal support for AGM

Qualifications

• Bachelor of Laws (LLB) degree or equivalent.
• Admitted as an Attorney or Advocate in South Africa.
• Minimum 6 years post-qualification experience in corporate law, with a focus on governance and compliance.
• In-depth knowledge of the South African Companies Act, King IV, and JSE Listing Requirements.
• Experience advising listed companies preferred.
• Strong understanding of board procedures, committee operations, and minute-taking.

Responsibilities

• Advising the Board of Directors, Company Secretary, and board committees on governance matters.
• Ensuring compliance with the Companies Act, King IV, JSE Listing Requirements and other legislation.
• Managing statutory compliance obligations, including annual returns and director registrations.
• Assisting with preparation and distribution of board/committee meeting materials and minutes.
• Reviewing and advising on corporate policies, charters, and governance frameworks.
• Managing insider trading regulations and related disclosures.
• Providing legal support for shareholder meetings, including AGMs.
• Conducting legal research on corporate law and governance issues.
• Overseeing subsidiary governance and compliance.
• Advising on director/officer liability and related insurance matters.
• Liaising with external counsel and regulatory bodies as required.
