Job summary

Placements24 is seeking a proactive Corporate Governance Specialist to join its legal and compliance team in a fully remote capacity. You will advise on board matters, develop governance policies, ensure regulatory compliance, and enhance governance frameworks across operations from anywhere in South Africa.

The role requires a law or business administration degree and at least 6 years in governance or related roles, with strong SA corporate law knowledge and excellent communication skills.

Qualifications

• Degree in Law, Business Administration, or related field.
• Minimum 6 years of governance, company secretarial, or legal experience.
• Strong knowledge of South African corporate law and governance principles.
• Experience with regulatory requirements for listed or regulated entities.
• Excellent organizational and interpersonal skills; ability to work remotely.

Responsibilities

• Advise the Board of Directors and senior management on governance and compliance.
• Develop, implement, and maintain governance policies and frameworks.
• Ensure compliance with legislation, listing requirements, and codes.
• Manage board and committee meeting logistics, agendas, minutes, and actions.
• Oversee shareholder communications and AGM processes.
• Conduct periodic reviews of governance structures and provide recommendations.
• Stay informed about governance trends and regulatory changes.
