Job summary

Placements24 is seeking a diligent Corporate Governance Specialist to join its remotely based legal and compliance team in South Africa. The role focuses on establishing high standards of corporate governance, advising the board, managing board meetings, and ensuring statutory compliance in a fully remote setting.

Candidates should hold an LLB or governance/compliance degree with admission as an Attorney, and have at least 6 years in governance or corporate law.

Qualifications

• LLB or governance/compliance degree required.
• Admission as an Attorney or relevant governance/compliance degree.
• Minimum 6 years in corporate governance, company secretarial, or corporate law.
• Thorough knowledge of SA corporate law and governance frameworks.
• Experience with remote/distributed teams okay.

Responsibilities

• Ensure compliance with Companies Act and King IV principles.
• Prepare agendas, minutes, and follow-up actions for board/committee meetings.
• Maintain statutory registers and file documents with regulators.
• Advise Board and senior management on governance and compliance.
• Develop and implement governance policies and procedures.
• Conduct governance training for directors and employees.
