About the Role

Our client, a prominent entity in the (Industry Sector, e.g., manufacturing, energy) industry, is seeking a highly proficient Legal Advisor with specialized expertise in Mergers & Acquisitions (M&A) to join their esteemed legal department in Durban, KwaZulu-Natal. This position is crucial for supporting the company's strategic growth initiatives through identifying, structuring, and executing M&A transactions. The ideal candidate will possess a deep understanding of corporate finance law, due diligence processes, and transaction documentation. You will play an integral role in advising senior management and business development teams on all legal aspects of potential and ongoing deals within Durban. Key Responsibilities

• Provide comprehensive legal counsel on all stages of M&A transactions, from initial evaluation to post-completion integration.


• Lead and manage the legal due diligence process for target companies, identifying key risks and opportunities.


• Draft, review, and negotiate complex transaction agreements, including Share Purchase Agreements (SPAs), Asset Purchase Agreements (APAs), and Merger Agreements.


• Advise on deal structuring, financing, and regulatory approvals required for M&A activities.


• Collaborate closely with internal teams (finance, operations, strategy) and external advisors (investment bankers, lawyers, accountants) throughout the transaction lifecycle.


• Ensure compliance with all applicable corporate laws, securities regulations, and competition laws in South Africa and relevant jurisdictions.


• Manage relationships with external legal counsel involved in M&A transactions.


• Assist with post-merger integration planning and execution from a legal standpoint in Durban, KwaZulu-Natal.

Requirements

• A Bachelor of Laws (LLB) degree and admission as an Attorney of the High Court of South Africa.


• A minimum of 6 years of relevant legal experience, with a strong focus on M&A transactions.


• Proven experience in managing complex M&A deals, from inception to closing.


• Solid understanding of corporate finance, securities law, and corporate governance.
