Placements24 is seeking a skilled Legal Advisor specializing in Mergers & Acquisitions for a hybrid role based in Pretoria, Gauteng. You will advise on and execute complex M&A transactions from due diligence to closing, collaborating with internal teams and external counsel.

Applicants should have an LLB, SA attorney admission, and at least 6 years of post-qualification M&A experience, with strong drafting and negotiation skills and the ability to manage multiple deals simultaneously.

About the Role

Our client, a leading diversified conglomerate with extensive business interests across various sectors, is seeking a highly skilled Legal Advisor specializing in Mergers & Acquisitions (M&A). This exciting opportunity is based in Pretoria, Gauteng, and offers a hybrid working model, blending office-based collaboration with remote flexibility. The successful candidate will play a crucial role in advising on and executing complex M&A transactions, from initial due diligence and structuring to negotiation and closing. You will work closely with internal business teams, external counsel, and advisors to ensure the legal integrity and successful completion of strategic acquisitions and disposals. This role demands a proactive, commercially astute legal professional with a strong transactional background.

Key Responsibilities

• Provide comprehensive legal advice and support throughout the M&A transaction lifecycle, including preliminary assessments, due diligence, deal structuring, negotiation, and closing.
• Draft, review, and negotiate key transaction documents such as Sale of Business Agreements, Share Purchase Agreements, Joint Venture Agreements, and Shareholders' Agreements.
• Conduct thorough legal due diligence on target companies, identifying potential risks and proposing mitigation strategies.
• Liaise with external legal counsel, financial advisors, and other stakeholders to ensure seamless transaction execution.
• Advise on corporate governance and regulatory compliance aspects related to M&A activities.

Requirements

• A Bachelor of Laws (LLB) degree from a reputable university.
• Admission as an Attorney of the High Court of South Africa.

• Demonstrated experience in managing all stages of M&A deals, from origination to completion.
• Strong understanding of South African company law, contract law, and securities regulations.
