Our client is seeking a seasoned Senior Mergers & Acquisitions Lawyer to play a key role in their corporate legal team, operating with a hybrid work model from Nelspruit. This position involves leading and managing complex domestic and international M&A transactions, from initial strategy and due diligence through to closing and post-merger integration. You will advise senior management, coordinate with external counsel, and ensure seamless execution of deals that are critical to the company's growth and strategic objectives. The ideal candidate possesses extensive M&A experience, strong negotiation skills, and a keen understanding of corporate finance and structuring.

Key Responsibilities

• Lead and manage all legal aspects of M&A transactions, including deal structuring, due diligence, and negotiation of transaction documents.
• Draft and review key transaction agreements such as Share Purchase Agreements, Asset Purchase Agreements, and Merger Agreements.
• Advise on corporate governance, securities law, and regulatory compliance related to M&A activities.
• Coordinate effectively with internal stakeholders, external legal advisors, and investment bankers throughout the transaction lifecycle.
• Assess and mitigate legal risks associated with potential acquisitions and divestitures.
• Provide strategic legal guidance on post-merger integration and restructuring matters.

Requirements

• Admitted Attorney with a minimum of 10 years of post-qualification experience, with a significant focus on M&A.
• Demonstrated expertise in leading complex, multi-jurisdictional M&A transactions.
• In-depth knowledge of corporate law, securities regulations, and transactional finance.
• Exceptional negotiation, drafting, and project management skills.
