About the Role

Our client is seeking an accomplished Senior Corporate Counsel to provide strategic legal guidance from their offices in Klerksdorp . This role requires a seasoned legal professional to oversee a broad spectrum of corporate legal affairs, including mergers and acquisitions, corporate finance, and compliance. You will play a critical role in shaping the company's legal strategy, managing risk, and ensuring adherence to all regulatory requirements. The successful candidate will be a trusted advisor, capable of handling complex transactions and providing pragmatic solutions to intricate legal challenges within the North West region.

Key Responsibilities

• Lead and manage complex corporate transactions, including M&A, joint ventures, and financing arrangements.
• Provide expert advice on corporate governance, securities law, and stock exchange regulations.
• Draft, review, and negotiate high-value commercial agreements and legal documents.
• Oversee the company's compliance program, ensuring adherence to all applicable laws and regulations.
• Manage external legal counsel effectively and control legal spend.
• Advise senior management on legal strategy and risk mitigation related to business operations.

Requirements

• Admitted Attorney with a minimum of 8 years of post-qualification experience, with a significant focus on corporate law and transactions.
• Proven experience in leading complex M&A transactions and corporate finance deals.
• Strong knowledge of South African corporate governance and securities law.
• Excellent negotiation, drafting, and analytical skills.
• Ability to manage multiple priorities in a fast-paced environment.
• Experience working with companies listed on the Johannesburg Stock Exchange (JSE) is a plus.
