Ascendion is partnering with a growing boutique law firm to hire a Venture Fund Attorney with 7+ years of fund experience. This full-remote role in New York focuses on drafting and negotiating fund documents, structuring vehicles, and advising sponsors on economics and governance.

Responsibilities include coordinating closings, investor onboarding, and collaborating with portfolio teams to finance SPVs. NY bar is required; salary ranges from $225k to $275k with full benefits.

Qualifications

• Admitted and in good standing in a U.S. state bar, with New York admission.
• 7+ years of law firm experience in investment funds, including fund formation and investor negotiation.
• Working knowledge of Securities Act private offering exemptions, Investment Company Act exclusions, and Investment Advisers Act registration/exemption questions.
• Strong drafting, negotiation and communication skills, and ability to run several fund launches and closings simultaneously.
• Experience with management company & GP-level economics, including carry vesting and co-invest allocation.

We are working with a growing Boutique law firm, looking to bring on an Venture Fund Attorney to join their team. Specifically, they are looking for someone with 7+ years of Venture fund experience. This role is full-remote in New York.

Responsibilities:

• Draft and negotiate limited partnership agreements, operating agreements, private placement memoranda, subscription documents and side letters
• Structure fund entities, parallel and feeder vehicles, blockers, general partners and management companies, including carried interest and distribution waterfall mechanics
• Advise sponsors on economic terms and on governance, key person, removal and successor fund provisions
• Work with the physics and corporate teams on portfolio investments and on the facilities that finance fund and SPV assets
• Run investor onboarding and subscription processes and coordinate closings on fund raises

Requirement:

• Admitted and in good standing in a U.S. state bar. New York admission
• 7+ years of law firm experience in investment funds, including fund formation and investor negotiation
• Working knowledge of the Securities Act private offering exemptions, the Investment Company Act exclusions, and Investment Advisers Act registration and exemption questions
• Strong drafting, negotiation and communication skills, and the ability to run several fund launches and closings at once
• Private credit or specialty finance funds, warehouse or forward flow vehicles, and bankruptcy-remote SPVs.
• Experience with management company & GP-level economics, including carry vesting and co-invest allocation

The annual salary for this position is between 225k-275k. Factors which may affect pay within this range may include geography/market, skills, education, experience and other qualifications of the successful candidate.
