Job summary

Ascendion seeks a seasoned investment funds attorney to lead the drafting and negotiation of fund documents, including LPAs, subscription materials, and side letters for U.S. fund raises.

You will structure fund vehicles, manage carried interest mechanics, and advise on governance and economic terms across multiple closings. NY bar admission and 7+ years of fund formation experience required.

Qualifications

• Admitted and in good standing in a U.S. state bar; New York admission recommended.
• 7+ years of law firm experience in investment funds, including fund formation and investor negotiation.
• Strong drafting, negotiation and communication skills, with ability to run multiple fund launches and closings.

Responsibilities

• Draft and negotiate limited partnership agreements, operating agreements, private placement memoranda, subscription documents and side letters.
• Structure fund entities, parallel and feeder vehicles, blockers, general partners and management companies, including carried interest and distribution waterfall mechanics.
• Advise sponsors on economic terms and governance, key person, removal and successor fund provisions.
• Collaborate with finance and corporate teams on portfolio investments and SPV financing.
• Run investor onboarding and subscription processes and coordinate closings on fund raises.
