Job summary

Insite Legal is seeking a Senior Funds Associate in New York with a fully remote option. You will own client relationships and lead on venture capital, private credit and private equity fund matters from formation through exits.

The role requires 8+ years of funds experience and US bar admission (NY preferred). The firm offers strong compensation, monthly bonuses for top closings, and a technology-forward culture with opportunities to grow a private funds practice.

Qualifications

• 8+ years of investment funds experience at a leading firm.
• Hands-on fund formation and investor negotiation experience.
• Working knowledge of the Securities Act, Investment Company Act and Investment Advisers Act.
• US bar admission, with New York preferred.
• Exposure to private credit funds, SPVs, GP economics or carry is a bonus.

Responsibilities

• Forming venture capital, private credit and private equity funds, and their GPs and management companies.
• Drafting and negotiating LPAs, PPMs, subscription documents and side letters, including tracking MFN elections.
• Structuring parallel and feeder funds, blockers, co-investment vehicles and bankruptcy-remote SPVs for warehouse and forward flow programs.
• Advising on Regulation D, the Investment Company Act 3(c)(1) and 3(c)(7) exclusions, and Investment Advisers Act exemptions
• Handling capital calls, transfers, amendments and successor fund launches.

Senior Funds Associate, New York (fully remote option)

Many senior funds lawyers at top firms have the same frustration. They know the work inside out, and they're the person sponsors actually call, but they're still one name among many on someone else's fund launch, with a career path set by tenure rather than by what they build.

This confidential opportunity is for a funds lawyer ready to step into real ownership.

My client is a fast-growing corporate law firm founded by attorneys who trained in Big Law. It runs on a modern, digital-native model: lean teams, smart technology and partners who are close to the work. The firm advises venture capital, private credit and private equity sponsors. Its funds practice is central to that work and ties in closely with its finance and emerging companies teams.

You'd work directly with sponsors and partners across the full fund lifecycle:

• Forming venture capital, private credit and private equity funds, and their GPs and management companies
• Drafting and negotiating LPAs, PPMs, subscription documents and side letters, including tracking MFN elections

Compensation: a base salary of $425,000-$440,000+, plus monthly deal and origination bonuses.
