Job summary

Our client, an Am Law 100 law firm in Boston, seeks a mid-level corporate associate to join its Venture Capital & Emerging Companies group. You will handle sophisticated venture financings and emerging company matters for startups and investors, with opportunities to take ownership of complex transactions.

The role offers meaningful client exposure, mentoring of junior associates, and a technology-forward environment that embraces AI tools to enhance legal practice.

Qualifications

• 4–5 years of transactional experience focused on venture capital and emerging companies.
• Admitted or eligible for Massachusetts Bar.
• Strong knowledge of Excel and capitalization tables.
• Daily proficiency with legal AI tools and a technology-forward approach to legal practice.

Responsibilities

• Draft and negotiate venture capital investment agreements and related documents.
• Advise emerging companies on day-to-day operational and corporate governance matters.
• Support board and stockholder communications, approvals and related processes.
• Advise on equity compensation arrangements and awards.
• Supervise, train and mentor junior associates on venture capital financings and emerging company matters.
• Collaborate with colleagues across the corporate practice to deliver strategic and practical legal solutions.
