Job summary

AmLaw 100 law firm client seeks a mid-level corporate associate for its venture capital and emerging companies group. You will work with startups, founders, and investors on matters from early rounds through late-stage growth and pre-IPO planning.

Openings exist in major U.S. markets including New York, Chicago, Los Angeles, the Bay Area, and Salt Lake City. You will draft and negotiate financings and advise on governance in collaboration with product and tax teams.

Qualifications

• 3–5 years of law firm experience in venture capital and emerging companies work
• Hands-on experience with venture financings on behalf of both companies and investors
• Working knowledge of standard venture deal documents and terms
• Experience with Delaware corporate matters, startup equity plans, and private company governance is a strong plus
• J.D. from an accredited U.S. law school with strong academic credentials
• Admitted (or able to be promptly admitted) to the bar in the office location

Responsibilities

• Set up and structure new companies and advise on governance and equity incentive matters
• Lead drafting and negotiation of financing documents for priced equity rounds as well as SAFEs and convertible notes
• Partner with M&A, capital markets, tax and compensation groups to support scaling client businesses
• Advise clients across early funding rounds through late-stage growth and pre-IPO planning

Job description

Our client, a prominent AmLaw 100 law firm, is looking to add a mid-level corporate associate to its venture capital and emerging companies group. This role offers the chance to work with fast-growing startups, their founders, and the investors who back them, handling matters from a company's earliest funding rounds through its late-stage growth and pre-IPO planning. Openings are available in several major U.S. markets, including New York, Chicago, Los Angeles, the Bay Area, and Salt Lake City.

The associate will help clients set up and structure new companies, advise on governance and equity incentive matters, and lead the drafting and negotiation of financing documents for priced equity rounds as well as SAFEs and convertible notes. Day to day, the role involves partnering with colleagues in the firm's M&A, capital markets, tax and compensation, and technology groups to support clients as their businesses scale.

$260,000 – $365,000 (annually) and may vary depending on experience, qualifications, and other factors. This position is also eligible for an annual bonus.
