Job summary

Baker Tilly US is seeking a Manager to join the Transaction Services Tax team. The role involves developing and implementing transaction advisory services for a diverse client base, with openness to location.

You will interact with Partners, model financial transactions, prepare memoranda, and review tax aspects of acquisitions and restructurings while delivering exceptional client service across industries.

Qualifications

• Bachelor's degree in finance, accounting or related field; or a graduate degree with 2 years of related work experience.
• 2+ years of work-related experience in a mid to large-size professional services firm; CPA or JD/LLM required.

Responsibilities

• Interact directly with Partners on client and engagement management.
• Model financial transactions for valuation, structuring and negotiation.
• Prepare detailed memoranda and presentations describing client attributes and industries.
• Assist in review and analysis of tax aspects of acquisitions and merger agreements; draft tax opinions and memoranda.
• Identify and analyze tax risks and opportunities; advise on alternative tax strategies for acquisitions, dispositions and restructurings.
• Review, assess and advise on tax computations in financial models; analyze tax data in projections.
• Data gathering, document review and preparation of reports.
• Research and financial analysis of target companies.
• Due diligence for buy-side and sell-side transactions.
• Transaction structuring for tax and accounting issues.
• Negotiation support.
• Communication with business owners to ensure exceptional client service.
• Participate in marketing and recruiting activities.
