Job summary

Baker Tilly US, a leading advisory, tax and assurance firm, is seeking a Manager to join the Transaction Services Tax team. Open to location, you will deliver transaction advisory services to privately held and public companies, PE funds, and banks while collaborating with partners on complex deals.

The role emphasizes tax diligence, structuring, and post‑acquisition planning, with responsibilities in modeling, reporting, and client service.

Qualifications

• Bachelor's degree in finance, accounting or related field required; or a graduate degree and 2 years of related work experience.
• 2+ years of work-related experience in a mid to large-size professional services firm.
• CPA or JD/LLM required.
• Tax due diligence, deal structuring and post-acquisition planning experience and/or inbound and outbound transaction consulting with international tax research, planning and compliance experience
• Demonstrated analytical, problem-solving, organization, interpersonal, project management, communication skills
• Strong written communication skills
• Ability to provide exceptional client service and commitment to quality and timely completion of duties

Responsibilities

• Interact directly with Partners on client and engagement management.
• Model financial transactions for valuation, structuring and negotiation.
• Prepare memoranda and presentations describing client attributes.
• Assist in review and analysis of tax aspects of acquisition and merger agreements.
• Identify and analyze tax risks and opportunities with alternative strategies.
• Review tax computations in financial models and assist in qualitative/quantitative analysis.
• Data gathering, document review and reports preparation.
• Research & financial analysis of target companies.
• Due diligence for buy side and sell side transactions.
• Transaction structuring for tax and accounting issues.
• Negotiation support.
• Communicate with business owners to ensure exceptional client service.
• Participate in marketing and recruiting activities
