Qualifications

• Bachelor's degree in finance/Accounting or related field, or graduate degree with 4+ years of related work experience.
• 5+ years of work experience in a mid-to-large professional services firm.
• CPA or JD/LLM required.
• Tax due diligence, deal structuring and post-acquisition planning experience and/or international tax research, planning and compliance.
• Strong written communication and proficiency with Microsoft Suite.

Responsibilities

• Interact with Partners on client and engagement management.
• Model financial transactions for valuation, structuring and negotiation.
• Prepare detailed memos and presentations describing client companies and industries.
• Assist in the review and analysis of tax aspects of acquisition and merger agreements and draft letters and memoranda.
• Identify and analyze tax risks and opportunities while advising on alternative tax strategies.
• Review tax computations and assist clients in financial projections for transactions.
• Data gathering, document review and report preparation.
• Research and financial analysis of target companies.
• Due diligence for buy-side and sell-side transactions.
• Transaction structuring for tax and accounting issues.
• Negotiation support and communication with business owners.
• Participate in marketing and recruiting activities.
